2.1億賣掉控制權！優矩控股復牌一度暴漲300%
今日港股優矩控股開盤一度大漲超300%，截至發稿，股價上漲190%，現報3.48港元，成交額779.81萬港元。
消息面上，優矩控股宣佈控股權變更完成，原主要股東Supreme Development完成向獨立第三方Autumn Harvest Ltd（要約人）出售50.62%股權，涉及約3.04億股股份，合計2.13億港元，相當於每股作價0.7港元。完成後，要約人及其致行動人士共計持有公司股本72.71%。
根據規則，要約人將對剩餘股份發起無條件強制性現金要約，要約價較最後交易日收盤價折讓41.7%。
據悉，要約人爲投資控股公司，由Cheng先生及Ma女士分別持有60%和40%，Ma女士爲Cheng先生配偶，二人背景涵蓋數字廣告、AI營銷、SaaS等領域。
資料顯示，優矩控股是一家專注於線上短視頻營銷解決方案的企業，公司成立於2020年9月21日，2021年11月8日於香港聯合交易所主板上市。公司主要業務包括提供一站式線上營銷服務，涵蓋流量獲取、內容製作、大數據分析、廣告活動優化、廣告分發服務以及直播電商銷售服務等。
業績方面，近年來，優矩控股的財務數據波動較大：2022年公司收入增長但利潤大幅下滑；2023年收入與利潤雙降，毛利改善；2024年收入強勁反彈，利潤增長放緩。
具體財務數據如下：
2022年公司實現營收80.36億元，同比增6.3%；淨利潤爲1.14億元，比下降約55%；毛利率約2.6%，與上年基本持平。
2023年實現營收70.76億元，同比下降15.1%；淨利潤進一步降至9060萬元，同比下降20.3%；然而，在優化客戶結構和成本控制下，毛利大幅提升30.1%至2.86億元。
2024年營收恢復至91.56億元，同比增長29.32%；淨利潤增至9387.3萬元，同比增長3.66%；毛利爲2.88億元，同比增長0.6%。
在基本面尚未顯著改善之際，公司控股權變更或成爲公司命運的轉折點。控股權更替爲其注入新的管理視角和戰略方向，但前路仍面臨諸多挑戰。
