吉利汽車(00175.HK)向極氪提交非約束性報價函 初步表明其有意進行私有化建議
格隆匯5月7日丨吉利汽車(00175.HK)公佈，爲了推動內部資源深度整合和高效協同，杜絕重複投入，降低成本，提升企業競爭力，打造長期價值，公司於2025年5月7日向極氪提交了非約束性報價函，據此，公司初步表明其有意進行私有化建議，收購所有已發行及發行在外的極氪股份及美國存託股票(集團實益擁有者除外)，惟須經進一步磋商及簽訂最終協議方可作實。
公司建議以每股極氪股份2.566美元或每股美國存託股票25.66美元作爲對極氪的估值。每名極氪股東及美國存託股票持有人可(就其持有的全部極氪股份及╱或美國存託股票)選擇：(i)就每股極氪股份，收取2.566美元現金或1.23股新發行股份，基於截至最後交易日止最後30個交易日期間股份於聯交所的成交量加權平均價格港幣16.14元和美元兌港幣匯率1:7.7503；或(ii)就每股美國存託股票，收取25.66美元現金或12.3股新發行股份，基於截至最後交易日止最後30個交易日期間股份於聯交所的成交量加權平均價格港幣16.14元和美元兌港幣匯率1:7.7503。倘極氪的股東或美國存託股票持有人未能作出有效選擇，則有關極氪股東或美國存託股票持有人將被視爲已選擇收取現金。
建議購買價較於最後交易日美國存託股票於紐交所的收市交易價溢價約13.6%，較截至最後交易日(包括該日)止最後30個交易日期間美國存託股票於紐交所的成交量加權平均價格溢價20.0%。
於公佈日期，集團持有極氪已發行及發行在外股本總額約65.7%。倘若私有化建議落實並完成，極氪將成爲公司的全資附屬公司，實現私有化並於紐交所退市。
預期私有化建議將爲集團創建一個統一的上市平臺，全面整合極氪的資產及資源，從而提升集團乘用車業務的競爭力。這也將有助於集團確定極氪未來的戰略方向，以應對全球市場及經濟挑戰。由於極氪爲面向高端豪華市場的全球豪華電動汽車科技品牌，就集團而言，全資控股極氪具有重大戰略意義。公司擬透過發行新股、現金儲備及債務融資(倘需要)，爲私有化建議提供資金。
