普邦股份(002663.SZ)：提前終止鄭州高新區市政綠化PPP項目PPP項目合同
格隆匯5月7日丨普邦股份(002663.SZ)公佈，公司於2025年5月6日召開第五屆董事會第二十七次會議審議通過了《關於提前終止<鄭州高新區市政綠化PPP項目PPP項目合同>的議案》，同意公司提前終止《鄭州高新區市政綠化PPP項目PPP項目合同》並向鄭州市中原區高新社會事務中心城市管理部發送《關於提前終止<鄭州高新區市政綠化PPP項目PPP項目合同>的通知函》。
2016年11月28日，鄭州市中原區高新社會事務中心城市管理部(原鄭州高新技術產業開發區管理委員會市政管理局，以下簡稱“甲方”)發佈“鄭州高新區市政綠化PPP項目中標、成交結果公吿”，確認公司和梅州市市政建設集團公司聯合體(以下合稱“中標人”)為鄭州高新區市政綠化PPP項目(以下簡稱“項目”)的中標社會資本方。
自2023年項目進入運營期以來，甲方持續未能履行服務費支付義務。項目公司曾多次向甲方發出《關於申請儘快支付PPP項目可用性服務費和運營績效服務費的函》及《關於2024年度PPP項目可用性服務費和運營績效服務費申請事宜的請示》。截至目前，甲方仍未履行支付義務，累計應付未付服務費約為9,460萬元。此外，在簽訂項目《補充協議》後，甲方未能按期完成項目重新立項入庫工作，對項目推進及後續貸款融資工作產生了實質性影響。同時，已交付使用的項目中，相關土地變更手續辦理及驗收組織工作進展遲緩，導致工程結算工作未能按計劃推進。
依據《項目合同》第15.3條關於由乙方提出提前終止的條款，其中15.3.3條明確規定：“甲方未按第12.1條規定支付服務費，且在乙方書面通知120日內仍未足額支付的”，以及15.3.6條規定：“甲方未履行本合同項下的任何其他義務構成對本合同的實質性違約，並且在收到乙方説明其違約並要求補救的書面通知後六十日內仍未改正或補救該實質性違約”，基於上述情況，公司決定依法提前終止《項目合同》，並向甲方發送《關於提前終止<鄭州高新區市政綠化PPP項目PPP項目合同>的通知函》。
