中創新航(03931.HK)將取得蘇奧傳感控制權
格隆匯5月6日丨中創新航(03931.HK)公告，於2025年5月6日，公司與賣方李宏慶訂立股份轉讓協議和表決權放棄協議。據此，公司有條件同意收購及賣方有條件同意出售目標公司江蘇奧力威傳感高科股份有限公司87,620,380股A股股份，佔截至本公告日期目標公司已發行總股本的11.00%。本次收購的標的股份價格爲每股標的股份人民幣5.83元，本次收購的代價爲人民幣510,826,815.40元。
同時，賣方同意在棄權期限內放棄其所持有的目標公司部分股份(155,725,311股A股股份)對應的表決權，佔截至本公告日期目標公司已發行總股本的19.55%。本次收購和表決權放棄爲不可分割的整體，不以本次認購爲前提。緊隨本次收購完成、表決權放棄完成以及股份轉讓協議約定的目標公司董事會成員調整後，目標公司將成爲公司的附屬公司，故目標公司財務業績將併入公司的合併財務報表。
於2025年5月6日，公司與目標公司訂立認購協議。據此，公司有條件同意認購及目標公司有條件同意向公司配發及發行目標公司不超過119,482,337股配售A股股份，認購價格爲每股配售A股股份人民幣5.63元。本次認購的總金額爲不超過人民幣672,685,557.31元。
緊隨本次收購及本次認購完成後，假設目標公司股本不發生其他變化，預計公司將持有目標公司合共約22.61%的已發行股份。本次認購以本次收購、表決權放棄的實施爲前提。
目標公司爲一家於中國註冊成立股份公司，在深圳證券交易所創業板上市(證券代碼：300507)。目標公司屬於汽車零部件及配件製造業，細分行業爲汽車核心電子行業。目標公司長期深耕汽車零部件行業，始終專注於爲汽車製造企業提供高品質的零部件產品與服務，主要產品包含感測器及配件、燃油系統附件、汽車內飾件、持續發展的新能源部件；此外，其控股子公司博耐爾汽車電氣系統有限公司的主要產品包含汽車熱管理系統零部件，廣泛應用於汽車空調、發動機及電機、電池、電控等模組。目標公司及其最終實益擁有人均爲獨立於本公司及其關連人士第三方。
基於對目標公司主要經營業務內在價值及未來發展前景的信心，集團擬通過本次收購獲得目標公司的控制權。本次收購及本次認購有利於落實集團發展戰略，集團將充分發揮自身在新能源及汽車產業鏈等方面的資源和優勢，爲目標公司業務發展賦能，進一步提升集團和目標公司的價值。
