蘇奧傳感(300507.SZ)：控股股東、實控人將變更為中創新航 5月7日起復牌
格隆匯5月6日丨蘇奧傳感(300507.SZ)公佈，2025年5月6日，中創新航科技集團股份有限公司(以下簡稱“中創新航”)與公司控股股東、實際控制人李宏慶先生簽署《股份轉讓協議》，李宏慶先生同意將其持有的公司87,620,380股股份(佔公司股份總數的比例為11%)轉讓給中創新航。本次股份轉讓完成後，李宏慶先生尚持有標的公司203,500,324股股份(佔公司總股本的25.55%)。
同日，中創新航與公司控股股東、實際控制人李宏慶先生簽署《表決權放棄協議》，本次股份轉讓價款全部支付完畢的當日，李宏慶先生無條件且不可撤銷的放棄155,725,311股(佔公司股份總數的比例為19.55%，以下簡稱“棄權股份”)股份的表決權，期限為自受讓方支付完畢全部股份轉讓價款之日起60個月(以下簡稱“棄權期限”)。在棄權期限內，棄權股份不得計入有效表決權。
通過本次協議轉讓及本次表決權放棄安排，李宏慶先生持有公司有表決權股份總數變更為47,775,013股股份(佔公司股份總數的比例為6%)；中創新航持有公司有表決權股份總數為87,620,380股股份(佔公司股份總數的比例為11%)。本次協議轉讓及表決權放棄完成後，中創新航將取得上市公司的控制權，成為上市公司的控股股東、實際控制人。
此外，2025年5月6日，中創新航與公司簽署《附條件生效的股份認購協議》，公司擬以向特定對象發行A股股票的方式向中創新航發行不超過119,482,337股人民幣普通股，擬募集資金總額不超過672,685,557.31元。中創新航同意以現金方式參與本次發行股票的認購。本次發行完成後，在不考慮其他因素可能導致股本數量變動的情況下，按照擬發行股數計算，中創新航將直接持有上市公司207,102,717股股份(佔公司發行後股份總數的比例為22.61%)。
本次協議轉讓、表決權放棄為不可分割的整體，不以本次發行為前提；本次發行以本次協議轉讓、表決權放棄的實施為前提。
根據深圳證券交易所的相關規定，經公司向深圳證券交易所申請，公司股票(股票簡稱：蘇奧傳感，股票代碼：300507)自2025年5月7日(星期三)開市起復牌。
