海南機場擬23.4億元收購美蘭空港(00357.HK)50.19%股權
格隆匯4月30日丨美蘭空港(00357.HK)公告，公司獲賣方通知，於2025年4月30日，賣方海口美蘭國際機場有限責任公司與內資股要約人海南機場設施股份有限公司訂立股份轉讓協議。根據股份轉讓協議，內資股要約人已有條件同意購買而賣方已有條件同意出售銷售股份(佔公司於本聯合公告日期全部已發行股本約50.19%)，總代價爲人民幣23.4億元(相當於每股股份人民幣9.85元(10.62港元))。
假設公司的已發行股本於有關期間並無變動，則緊隨股份轉讓協議交割後，該等要約人及彼等的一致行動人士(包括被推定一致行動人士)將於合共246,300,000股內資股中擁有權益(佔公司於本聯合公告日期全部已發行股本約52.05%)。根據收購守則規則26.1，內資股要約人須根據收購守則就該等要約人尚未擁有或同意將予收購的所有股份提出無條件強制性全面現金要約。
該等要約人有意維持公司的上市地位。如少於25%的已發行股份(即公司適用的最低公衆持股量)由公衆持有，或如聯交所認爲(i)股份買賣存在或可能存在虛假市場；或(ii)由公衆持有的股份不足以維持有秩序的市場，則聯交所將考慮行使其酌情權以暫停股份的買賣直至公衆持股量恢復至規定水平。該等要約人將採取適當步驟以確保在該等要約截止後股份有足夠的公衆持股量。
內資股要約人爲在中國註冊成立的有限責任公司，並在上海證券交易所上市(股份代號：600515)。內資股要約人主要從事機場管理、免稅品及商用物業業務、房地產、物業管理及酒店業務。
於本聯合公告日期，內資股要約人的主要股東爲海南機場集團(其爲內資股要約人的單一最大股東)及海航基礎控股集團有限公司，兩者分別持有約24.87%及19.69%權益。海南機場集團由海南省發展控股有限公司全資擁有，而海南省發展控股有限公司則由海南國資委控制。
