海南機場(600515.SH)：擬以23.39億元收購美蘭空港50.19%內資股股份 成為其控股股東
格隆匯4月30日丨海南機場(600515.SH)公佈，為實現海南自貿港區域內核心交通基礎設施的整合，更好守護空中門户、服務海南自貿港建設，並做強做優做大公司機場主業、實現高質量發展，公司擬以自有及/或自籌資金通過股份轉讓方式收購關聯方美蘭有限持有的美蘭空港237,500,000股內資股，佔美蘭空港總股本的50.19%。
本次股份轉讓交易是在綜合考慮標的公司的歷史經營業績、標的公司每股淨資產、財務狀況、未來業務發展前景以及當前的市場狀況的基礎上，經交易雙方公平協商後，最終確定交易價款為23.39億元人民幣，摺合每股9.85元人民幣。
上述股份轉讓交易完成後，海南機場將持有美蘭空港237,500,000股股份，佔美蘭空港總股本的50.19%，觸發香港《公司收購及合併守則》規定的要約收購義務。公司擬作為內資股要約人對標的公司全部已發行內資股進行全面收購要約（內資股要約人已擁有或同意收購的內資股除外），並由公司全資子公司海南機場設施（香港）有限公司作為H股要約人對標的公司全部已發行H股進行全面收購要約。本次全面要約擬維持美蘭空港的上市地位，本次內資股要約價格摺合每股9.85元人民幣，H股要約價格摺合每股10.62港元（按照內資股要約價格每股9.85元人民幣，基於中國人民銀行2025年4月30日公佈的匯率中間價1港元=0.92813人民幣換算）。
美蘭空港於2000年12月28日在中國註冊成立為股份有限公司，於2002年11月18日發行H股並在香港聯交所主板上市，於2003年11月6日經中國商務部批准成為一家外商投資股份有限公司。公司及其子公司經營中國海南省海口市美蘭機場內的航空及非航空業務。2024年度，美蘭空港實現飛機起降18.61萬架次，旅客吞吐量2,689.04萬人次，貨郵吞吐量20.93萬噸，較上年同比分別增長7.92%、10.48%、19.69%。
機場運營管理是公司的主責主業，本次交易完成後，美蘭空港將成為公司合併報表範圍內控股子公司，公司營收規模和資產規模都將得到進一步擴大，有利於進一步聚焦及做強做優做大公司機場主業，提升公司核心競爭力，同時實現海南自貿港區域內機場資源的統籌協同，把握海南自貿港封關運作機遇期，更好地服務海南自貿港建設，實現上市公司高質量發展。
本次交易完成後，公司及全資子公司海南機場設施（香港）有限公司合計持有美蘭空港至少50.19%股份，公司成為美蘭空港的控股股東。
