中國石油化工股份(00386.HK)及中國石化集團公司將對資本公司增資合計19.9億元
格隆匯4月28日丨中國石油化工股份(00386.HK)公吿，於2025年4月28日，公司、中國石化集團公司與資本公司簽訂《增資協議》。據此，公司及中國石化集團公司將對資本公司增資合計人民幣19.9億元，其中，公司以現金增資人民幣9.751億元，中國石化集團公司以現金增資人民幣10.149億元。資本公司的註冊資本將由人民幣100億元增加至人民幣119.9億元。本次增資完成後，公司及中國石化集團公司擁有資公司的股份權益維持不變，仍為49%及51%。
本次增資金額乃考慮資公司現有註冊資本、投資支出需求、未來業務發展及股東股權比例後公平磋商而釐定。根據資本公司2025年投資計劃，預計將對氫能基金和中央企業戰略性新興產業發展基金出資約人民幣22.35億元，結合資公司當前資金狀況，需資本公司的股東合計增資人民幣19.9億元。按照公司及中國石化集團49%及51%的股權比例，將分別增資人民幣9.751億元及人民幣10.149億元。本次增資價格為人民幣1元╱1元註冊資本，交易價格及定價方法公允合理。
資本公司為一家於2018年在中國成立的有限責任公司。於本公吿日，資本公司的註冊資本為人民幣100億元，由公司出資人民幣49億元，持有49%的股份權益，中國石化集團公司出資人民幣51億元，持有51%的股份權益。其主營業務包括項目投資，股權投資，受託管理股權投資基金，從事投資管理及投資諮詢(證券、期貨投資諮詢除外),自持股權的管理，財務諮詢。資本公司為中國石化集團公司的非全資附屬公司。
2025年，資本公司擬發起設立氫能基金，參與中央企業戰略性新興產業發展基金，並圍繞充換電、儲能等領域進行投資，與公司產業鏈有較好地協同性。公司通過按股比向資本公司增資，能夠進一步間接提升公司在新能源、新材料以及高端智能製造等領域的佈局力度，有助於支撐公司產業鏈轉型升級。
