港亞控股(01723.HK)：建議發行新股份及可轉換票據 總籌6549.83萬港元
格隆匯4月24日丨港亞控股(01723.HK)發佈公告，2025年4月23日，公司訂立股份認購協議及可轉換票據認購協議，內容有關發行及認購新股份及可轉換票據。待股份認購協議及可轉換票據認購協議的先決條件達成後，按認購價4.01港元向認購人發行及配發327.2萬股認購股份及本金總額爲5237.76萬港元的可轉換票據。
認購價每股認購股份4.01港元較於最後交易日在聯交所所報收市價每股股份5港元折讓約19.8%。認購股份相當於本公告日期已發行股份總數的約0.82%，及經發行認購股份擴大後的股份總數的約0.81%。按初始轉換價每股轉換股份5港元計算，因悉數行使可轉換票據附帶的轉換權而將予配發及發行的轉換股份合共爲1047.552萬股，相當於本公告日期已發行股份總數的約2.62%；及經發行認購股份及轉換股份擴大後的已發行股份總數的約2.53%。
預計發行認購股份及發行可轉換票據所得款項總額將約爲6549.83萬港元，及預計發行認購股份及發行可轉換票據所得款項淨額將約爲6418.84萬港元。發行認購股份所得款項總額將爲1312.07萬港元，預計發行認購股份所得款項淨額約爲1285.83萬港元。發行可轉換票據所得款項總額將爲5237.76萬港元，預計發行可轉換票據所得款項淨額約爲5133萬港元。公司擬以下列方式運用所得款項淨額總額：(a)最高約641.88萬港元(佔所得款項淨額總額最高約10%)將用作一般營運資金；及(b)最高約5776.95萬港元(佔所得款項淨額總額最高約90%)將用於把握日後可能出現的潛在投資機會，探索加密貨幣投資及Web3.0的機會，及╱或收購比特幣等數字資產。於本公告日期，除在公開市場收購比特幣外，集團並無發現任何具體的潛在投資機會或目標。認購股份及轉換股份將根據一般授權發行，毋須股東批準。
