新特能源(01799.HK)：終止員工持股計劃
格隆匯4月21日丨新特能源(01799.HK)公佈，為建立有效的激勵約束機制，配合建議發行A股工作，經公司股東於股東大會批准，公司實施了員工持股計劃。員工持股計劃的參與人員("參與人員")為授予日(即2022年5月5日)時在公司任職的董事、監事、高級管理人員、中層管理人員、核心技術人員及核心業務人員等，合計500人，授予股份為受讓自特變電工股份有限公司("特變電工"，公司控股股東)的2,994萬股公司內資股股份("標的股份"，佔公司總股本2.09%)，授予價格為每股人民幣13.73元。參與人員通過設立的持股平台(即11家合夥企業)間接持有標的股份。
由於光伏產業鏈上下游供需關係已發生顯着變化及多晶硅產品價格的變動，基於公司所處行業狀況及實際情況，公司已於2024年12月撤回建議發行A股的申請。鑑於員工持股計劃是配合建議發行A股實施的股權激勵事項，而建議發行A股已終止，員工持股計劃已無法達到預期目的和效果，經慎重考慮，根據股東授權，公司董事會已於2025年4月20日決定終止員工持股計劃，並授權管理層處理後續標的股份轉讓、合夥企業解散清算及剩餘財產分配等相關事宜。
執行董事張建新先生及呼維軍先生為員工持股計劃的參與人員，並已於董事會會議上就審議及批准終止員工持股計劃的議案放棄投票。除上文所披露者外，概無其他董事於上述事宜中擁有或被視為擁有任何重大權益，且須於董事會會議上就相關議案放棄投票。
特變電工對集團未來發展充滿信心，擬於公司終止員工持股計劃後，以人民幣41,736.36萬元受讓全部由持股平台持有的標的股份。合夥企業轉讓標的股份予特變電工後，將對合夥企業進行解散清算，向參與人員按其出資比例分配合夥企業剩餘財產。終止員工持股計劃預計不會對公司日常生產經營、財務狀況和發展戰略等方面造成重大不利影響，公司管理層和骨幹員工將繼續勤勉盡職，為集團長遠可持續發展貢獻力量。
