承達集團(01568.HK)與朗升合作:擬2.4億港元收購可維萊集團,加碼室內裝潢材料供應鏈
格隆匯4月9日丨承達集團(01568.HK)發佈公吿,2025年4月9日(交易時段前),公司直接全資附屬公司Gloryeild、朗升(即朗升國際有限公司,由高忠麟先生直接全資擁有)與合營公司訂立股東契據,內容有關就收購事項成立合營公司。Gloryeild將持有50股合營股份,佔合營公司50%權益。朗升將持有50股合營股份,佔合營公司50%權益。根據股東契據,Gloryeild須向合營公司注入Gloryeild股東貸款(1)(即注資後合營公司將結欠Gloryeild本金額為1.2億港元的股東貸款)作為資本金,而朗升須透過指示及促使高時訂立買賣貸款轉讓向合營公司注入資本金。
合營公司(即Quarella Global Limited)的唯一業務為透過其附屬公司的營運於不同地區從事批發、零售、分銷、生產、營銷、設計、進口、加工、貿易、供應、裝配、維修樹脂基人造石及樹脂基人造石相關產品業務及╱或合營公司董事會不時一致同意的其他業務。
緊隨股東契據訂立後,合營公司(作為買方)與Quarella Holdings(作為賣方)就收購事項訂立買賣協議。收購事項的代價為2.4億港元,其中1港元為銷售股份的代價,其餘則為銷售貸款的代價。目標公司(即可維萊集團有限公司)為於香港註冊成立的有限公司,其主要從事建築及室內裝修材料分銷。
目標公司的附屬公司(由目標公司直接全資擁有)如下:(1)廈門可維萊,於中國成立的有限公司。其主要從事建築及室內裝修材料分銷。(2)深圳意特利,於中國成立的有限公司。其主要從事建築及室內裝修材料分銷。(3)Q.R.B.G.,於意大利註冊成立的有限公司。其主要從事人造石複合表面產品的製造及貿易。(4)星弘,於香港註冊成立的有限公司。其為一間投資控股公司。
作為領先的綜合室內裝潢工程承建商之一,集團不斷尋求機遇以簡化室內裝潢材料的採購流程,使集團為客户進行的室內裝潢工程更具成本效益、更省時及更高效。由於人造石複合表面產品用作室內裝潢材料的情況日趨普遍,集團認為收購事項為集團提供良機,有利於人造石複合表面產品的採購及生產。此外,收購事項將為集團的資本增值,使集團能夠為股東賺取更多回報。因此,集團決定就收購事項及進行收購事項與朗升成立合營公司。
