能源國際投資(00353.HK)擬3億港元收購信立創投100%股本
格隆匯4月8日丨能源國際投資(00353.HK)公告，於2025年4月8日，買方Mission Achiever Limited(公司一間間接全資附屬公司)與賣方山東逸燦及黃於涵及目標公司信立創投有限公司訂立買賣協議，據此，賣方集團已有條件同意出售而買方已有條件同意購買銷售股份(相當於目標公司信立創投有限公司已發行股本總額的100%)，按無負債基準代價爲3億港元。
於本公佈日期，公司間接控制順東港務約55.17%的普通股權，故順東港務爲公司的間接非全資附屬公司。待完成後，目標公司將成爲公司間接全資附屬公司，而公司將透過目標公司及其香港特殊目的公司進一步控制順東港務29.83%的普通股權，並透過買方合共控制順東港務85%的普通股權。
順東港務爲集團的主要營運實體，從事租賃位於中國山東省東營港經濟開發區的油品及液體化工品碼頭連同其儲存及物流設施的業務。東營港地處黃河入海口與渤海的交匯處，毗鄰勝利油田及東營市石油化工產業集羣，是石油、化工品及液化天然氣運輸的核心樞紐。
根據山東省交通運輸廳於2024年11月20日發佈的最新消息，東營港預期建成爲重要的能源及化工品港口，爲滿足東營港經濟開發區終端用戶不斷增長的需求，計劃新增四個10萬載重噸的通用碼頭、兩個5萬載重噸的通用碼頭及兩個10萬載重噸的液體化工品碼頭。
於2024年首十一個月，東營港的吞吐量超8,000萬噸，同比增長28.2%。隨着東營港經濟開發區產業經濟的快速發展，其已躍居全國重點化工園區第四位，且東營港預期建設成現代化化工港口，於2025年的吞吐量將突破1億噸，以應對產業發展帶來的需求快速增長。憑藉順東港務的基地於東營港的優越位置，董事會認爲順東港務的業務將受惠於東營港的現有及未來發展。因此，於2024年12月20日，順東港務亦成功與其主要租戶磋商上調月租，自2026年8月1日起生效。
