天洋新材(603330.SH)：茹伯興、茹正偉將成爲實際控制人
格隆匯4月8日丨天洋新材(603330.SH)公佈，2025年4月6日，天洋新材控股股東、實際控制人李哲龍先生及其一致行動人李明健、樸藝峯、李順玉、樸藝紅與百瑞興陽及其一致行動人偉創佳則簽署了《股份轉讓協議》，並於同日簽署了《表決權放棄協議》及《不謀求控制權承諾函》。
根據協議內容，百瑞興陽及其一致行動人偉創佳則合計受讓李哲龍先生及其一致行動人持有天洋新材66,410,206股股份，佔比15.35%。其中百瑞興陽受讓李哲龍、李明健分別持有的天洋新材28,562,098股普通股股份，（佔上市公司股份總數的6.60%）、16,214,425股普通股股份（佔上市公司股份總數的3.75%），合計44,776,523股，佔公司總股本的10.35%；
偉創佳則受讓李明健、樸藝峯、李順玉、樸藝紅分別持有的天洋新材186,867股普通股股份（佔上市公司股份總數的0.04%）、16,505,037股普通股股份（佔上市公司股份總數的3.81%）、4,517,145股普通股股份（佔上市公司股份總數的1.04%）、424,634股普通股股份（佔上市公司股份總數的0.10%），合計21,633,683股，佔公司總股本的5%。
轉讓價格爲每股人民幣7.345元，轉讓價款合計人民幣48,778.296307萬元。本次協議轉讓完成後，李哲龍先生及其一致行動人持有的公司股份將由152,096,501股減少至85,686,295股，持股比例由35.15%減少至19.8%；百瑞興陽及其一致行動人偉創佳則持有的公司股份變爲66,410,206股，持股比例爲15.35%。李哲龍先生持有上市公司85,686,295股股份，持股比例爲19.8%。
同日，李哲龍先生與百瑞興陽、偉創佳則簽署《表決權放棄協議》，本次股份轉讓交割後，李哲龍先生在棄權期限內放棄其未轉讓股份對應的表決權。同日，李哲龍出具《不謀求控制權承諾函》，認可並尊重受讓方及其一致行動人作爲上市公司控股股東、實際控制人的地位。本次權益變動完成後，百瑞興陽將成爲上市公司的控股股東，茹伯興、茹正偉將成爲上市公司的實際控制人。
