中國新城市(01321.HK)與中信資本特殊機會投資部成立及共同營運投資平臺探索及投資各類受壓資產項目
格隆匯4月2日丨中國新城市(01321.HK)公告,於2025年4月2日,公司與Ultra Brilliant Advisory Limited(中信資本控股有限公司("中信資本")的間接非全資附屬公司)訂立不具法律約束力的合作備忘錄,內容有關集團與中信資本特殊機會投資部("中信資本特殊機會投資部")成立及共同營運投資平臺,方式爲設立一間合營公司及一間合營公司的附屬公司("外商獨資企業公司",連同合營公司統稱"合營平臺")。
預期合營平臺將與由集團引入基石投資者和中信資本特殊機會投資部引入其他投資者在中國境內積極探索及投資各種合資格投資項目。各合資格投資項目將包括各類受壓資產,其特點爲(a)因投資期限錯配、債務期限壓力等原因可能以較大幅度折扣定價;(b)具備透過營運改進工作提升價值的潛力;及(c)符合城市更新及國家政策方向,具有以多種方式退出的可能性。
董事會觀察到中國房地產市場的重大結構性轉變。由(其中包括)中國住房及城鄉建設部發布的《"十四五"住房和城鄉建設科技發展計劃》凸顯從新開發轉向管理現有庫存的轉變。監於房地產貸款違約規模在銀行、信託和債券行業中的佔比較高,因此自2022年起的中央經濟工作會議中,房地產行業均被劃歸爲需要有效防範化解風險的重點領域;2024年的中央經濟會議中進一步強調盤活存量用地和商辦用房,推進處置存量商品房工作。推動構建房地產發展新模式,有序搭建相關基礎性制度。董事會預計,基於存量資產退出、困境資產轉讓、違約貸款出清等的受壓資產併購重組將提供更多市場機會,集團目標爲透過合營平臺把握該等機會。
成立合營平臺亦代表集團業務模式的創新,從傳統商業地產開發運營業務模式擴展至提供資產管理服務等輕資產模式,探索構建輕重並舉的業務模式。預期該策略轉變將會優化本集團的資產負債表,同時拓展於來自資產管理費及資產增值機會的收入。
利用集團在業務營運方面的專業知識及其廣泛網絡,加上中信資本特殊機會投資部在資產管理、困境資產重組及特殊機會投資方面的經驗,董事會目標爲透過參與投資合資格投資項目的方式,多元化發展集團的業務組合,並在當前市場環境下把握新的增長機會。
