鼎億集團投資(00508.HK)擬不超過6900萬港元收購Savor Dining全部股權，重新進軍餐飲業務
格隆匯4月1日丨鼎億集團投資(00508.HK)發佈公告，2025年3月31日，買方(即旭貿創投有限公司，公司的全資附屬公司)與賣方(即何煜臨先生與嚴仁浩先生)就收購事項訂立買賣協議。根據買賣協議，買方同意收購而賣方同意出售銷售股份(佔Savor Dining Collective Limited已發行股份100%)，總代價不超過6900萬港元。
Savor Dining於中國香港註冊成立爲有限公司。截至本公佈日期，何先生及嚴先生分別擁有Savor Dining的85.0%及15.0%權益。自2025年3月註冊成立起至本公佈日期，Savor Dining爲一間爲重組而設立的投資控股公司，並將持有Savor集團公司。Savor集團公司(即鼎億餐飲投資(深圳)有限公司、盧瓦爾餐飲投資(深圳)有限公司、璞至餐飲投資(深圳)有限公司、真呈餐飲管理(深圳)有限公司、悅羣餐飲投資(深圳)有限公司、深圳卿雅餐飲投資有限公司及睿璟餐飲管理諮詢(深圳)有限公司的統稱，該等公司均爲於中國註冊成立的公司)爲七間於中國註冊成立的公司。重組完成後，Savor Dining將成爲Savor集團公司的唯一合法及實益擁有人。Savor集團公司於中國深圳從事食品及飲料銷售。截至本公佈日期，Savor集團公司於中國深圳經營六間餐廳，包括Ensue，該餐廳於2023年榮獲亞洲50佳餐廳。
董事會認爲，收購事項使集團得以重新進軍餐飲業務，而餐飲業務在集團於2020年退出該業務領域前的十多年間一直爲集團的核心業務。透過收購事項，集團將持有六間餐廳(即Ensue、Terra Madre、L’AIIée、L’Avenue、Mesa Casa Latino及頤亭)，該等餐廳均位於深圳黃金地段，董事會認爲該等餐廳爲集團日後在中國發展高端餐飲業務提供了穩固的基礎。
