力星股份(300421.SZ)：擬以現金方式收購飛燕鋼球控股權
格隆匯3月31日丨力星股份(300421.SZ)公佈，根據公司發展戰略規劃，爲拓展產業鏈，進一步提升公司競爭力，經與標的公司青島飛燕臨港精密鋼球製造有限公司(以下簡稱"飛燕鋼球"或"標的公司")及其主要股東初步溝通，公司擬以現金方式收購飛燕鋼球控股權。
據悉，青島飛燕臨港精密鋼球製造有限公司由青島飛燕精密鋼球製造有限公司投資設立，成立於2004年，隸屬於青島華通國有資本運營集團公司。飛燕鋼球擁有深厚的技術研發，生產製造和創新底蘊。其核心產品涵蓋∮0.5-∮12.7mm的軸承鋼、不鏽鋼鋼球等，廣泛應用於汽車、航空航天、精密機械等領域。飛燕鋼球於2008年通過TS16949國際質量認證，微型鋼球冷鐓球坯工藝開發成果達到國內領先水平。此外，在汽車轉向器領域，其鋼球產品佔據國內商用車及重卡市場90%以上的份額，間接爲美國牧馬人、福特皮卡等知名品牌配套。∮3mm以下微小鋼球，在國內外具有不可替代的優勢。
本次擬對外投資事項是公司基於深耕軸承滾動體行業多年的技術積澱與產業資源整合能力，圍繞高端製造領域佈局的重要舉措，符合公司的長期發展戰略規劃。飛燕鋼球的主要客戶覆蓋汽車、精密機械、航空航天、儀器儀表等行業，尤其在機牀、滾珠絲桿等非軸承領域具備技術積累，如飛燕鋼球在∮3mm以下微小鋼球領域，其核心工藝在精密加工、表面處理方面構築了獨特的技術壁壘，在國內外具有不可替代的優勢。
力星股份作爲國內領先的滾動體製造商，其產品聚焦於精密軸承鋼球、滾子及陶瓷球系列，本次產業整合可進一步補充力星股份的非軸承市場，與力星股份形成"技術互補+市場協同"的戰略格局，將顯著增強力星股份在微型高精度滾動體領域的全球競爭力，構建差異化護城河，進一步拓展公司未來發展空間，提高公司盈利能力，爲我國高端裝備製造業的進口替代戰略提供關鍵零部件保障。
