*ST恆立(000622.SZ)：子公司擬與控股股東簽訂債權、債務轉讓協議
格隆匯3月20日丨*ST恆立(000622.SZ)公佈，爲儘快盤活公司債權資產，提升資金使用效率和流動性，公司全資子公司湖南恆勝互通國際貿易有限公司（簡稱“恆勝互通”）擬與公司控股股東湘誠神州簽訂債權轉讓協議（該交易稱爲交易一）；公司全資子公司嶽陽恆立汽車零部件有限責任公司（以下簡稱“零部件公司”）和恆勝互通作爲甲方與湘誠神州（乙方）及成都格瑞盟科技有限公司（丙方）（以下簡稱：“成都格瑞盟”）簽訂債務轉讓協議（該交易稱爲交易二）；零部件公司和恆勝互通作爲甲方與湘誠神州（乙方）及上海帷各燃氣設備科技有限公司（丙方）（以下簡稱：“上海帷各”）簽訂債務轉讓協議（該交易稱爲交易三）；恆勝互通（甲方）與湘誠神州（乙方）及重慶新捷誠精密機械製造有限公司（丙方）（以下簡稱：“重慶新捷誠”）簽訂債務轉讓協議（該交易稱爲交易四）；恆勝互通（甲方）與湘誠神州（乙方）及陝西智允燃氣設備有限公司（丙方）（以下簡稱：“陝西智允”）簽訂債務轉讓協議（該交易稱爲交易五）；恆勝互通（甲方）與湘誠神州（乙方）及成都卓領科技有限公司（丙方）（以下簡稱：“成都卓領”）簽訂債務轉讓協議（該交易稱爲交易六）。
在交易一中，2022至2023年度期間，上海旭木供應鏈有限公司（以下簡稱“上海旭木”或“債務人”）向恆勝互通開具了12,905.7萬元商業承兌匯票，用以支付貨款，截至本協議簽署日，該部分商業承兌匯票均已到期未兌付。基於此，恆勝互通享有對上海旭木12,905.7萬元票據追索權及應收貨款本金及其包括但不限於違約金、利息等法定或合同約定的附屬收益在內的全部債權（以下簡稱“標的債權”）。標的債權以沃克森（北京）國際資產評估有限公司出具的“沃克森評報字(2025)第【0374】號”【湖南恆勝互通國際貿易有限公司擬轉讓債權項目資產評估報告】確定的轉讓價值【12,905.7】萬元作爲定價依據，即本次標的債權轉讓對價爲【12,905.7】萬元。湘誠神州系公司的控股股東，擬受讓恆勝互通對上海旭木的上述標的債權。
在交易二和交易三中，根據恆勝互通、零部件公司及公司控股股東與子公司債權人成都格瑞盟、上海帷各協商情況，兩家債權人單位同意簽訂附生效條件的《債務轉讓協議》，各方同意，自公司2025年第三次臨時股東大會表決通過《關於簽訂〈債權轉讓協議〉及〈債務轉讓協議〉的議案》之日起，子公司對成都格瑞盟、上海帷各分別應付的金額爲1,800萬元、800萬元的債務全部轉讓由控股股東湘誠神州負責清償，子公司就標的債務不再向債權人承擔清償責任；
在交易四、交易五和交易六中，根據恆勝互通、公司控股股東與子公司債權人重慶新捷誠、陝西智允、成都卓領協商情況，三家債權人單位同意簽訂附生效條件的《債務轉讓協議》，各方同意，自公司2025年第三次臨時股東大會表決通過《關於簽訂〈債權轉讓協議〉及〈債務轉讓協議〉的議案》之日起，子公司對重慶新捷誠、陝西智允、成都卓領分別應付的金額爲866.0173萬元、1,038.84萬元、878.319萬元的債務全部轉讓由控股股東湘誠神州負責清償，子公司就標的債務不再向債權人承擔清償責任。
