宏光半導體(06908.HK)可能收購深圳華芯邦科技若幹股權
格隆匯3月18日丨宏光半導體(06908.HK)公告，於2025年3月18日，公司與賴澤聯及南寧產投新興一號投資基金合夥企業(有限合夥)訂立不具法律約束力的諒解備忘錄，內容有關訂約各方有意促成涉及深圳市華芯邦科技目標股權的可能收購事項。"目標股權"指深圳市華芯邦科技不少於19.99%但不多於29.99%的股權。
公司與賣方已同意按真誠原則進行磋商及討論，以期於排他期屆滿日期或前訂立正式協議。有關可能交易的細節(其中包括代價、結付方式及代價付款時間表)須待諒解備忘錄訂約各方進一步磋商後方可作實，並將(倘達成協議)載入正式協議內。
深圳市華芯邦科技爲於2008年在中國成立的有限公司，總部設於中國深圳市。其主要從事半導體的研究、開發、製造及銷售。深圳市華芯邦科技集團已建立全面的全國性產業架構，具備半導體制造所需的獨立研發能力以及內部生產及封裝設施。
深圳市華芯邦科技集團由業界專家團隊領導，包括來自頂尖跨國電子公司的前管理幹部。團隊成員包括在第四代半導體領域擁有國際領先專業技術的半導體科學家，以及在龍頭電動汽車製造商從事研發工作超過十年並開發數十項專利發明的資深研究員。自成立以來，深圳市華芯邦科技集團獲得多家國家資助機構的策略性投資，廣受業界龍頭供應商及客戶的肯定。

公司相信，可能收購事項爲集團提供寶貴機會，投資於一家在半導體生態系統中擁有穩固客戶基礎及廣泛網絡的領先半導體企業。完成後，集團可透過結合集團在第三代GaN半導體的技術優勢以及深圳市華芯邦科技集團的晶片設計、封裝及測試能力，與深圳市華芯邦科技產生協同效應。通過與深圳市華芯邦科技集團合作，集團亦可藉助自身與深圳市華芯邦科技集團共同開發的GaN芯片，提升旗下LED產品的效能及切換頻率。
可能收購事項亦有助鞏固集團於半導體行業的市場地位，同時可讓集團透過與深圳市華芯邦科技集團達成業務合作，穩步提升旗下GaN及其他半導體產品業務分部的表現，符合公司的長遠策略利益。
