愛美客(300896.SZ)：擬收購韓國REGEN Biotech,Inc.公司控股權 進一步夯實在醫美注射填充產品市場的領先優勢
格隆匯3月10日丨愛美客(300896.SZ)公佈，公司全資子公司Imeik（HK）Limited（簡稱“愛美客香港”）與AishengShourui(HK)Limited（簡稱“首瑞香港”）共同設立ImeikInternationalLimited（簡稱“愛美客國際”），擬通過愛美客國際收購註冊地址位於韓國大田市的REGENBiotech,Inc.公司（簡稱“標的公司”、“韓國REGENBiotech,Inc.”）85%的股權，標的公司主要從事醫用材料、醫療器械及醫藥等相關產品的研發、生產與銷售。愛美客國際擬以現金方式支付對價，以1.90億美元收購MountBeaconHoldingsLtd.（簡稱“MountBeacon”）、IRCLimited（簡稱“IRC”）、MR.KWANGSIKCHOI（簡稱“Mr.Choi”）持有的標的公司85%的股權。具體收購支付金額以實際交割的金額爲準。
標的公司是一家韓國領先的醫美產品公司，2000年4月成立於韓國大田。標的公司已獲批上市的產品主要包括：AestheFill與PowerFill。兩個產品的主要成分均爲PDLLA微球和羧甲基纖維素鈉。其中AestheFill的主要應用部位爲面部；PowerFill的主要應用部位爲身體。標的公司是韓國第一家，全球第三家取得聚乳酸類皮膚填充劑產品註冊證的公司。標的公司在韓國共建有兩處工廠，其中位於大田的工廠於2001年投入使用，目前處於正常運轉狀態；爲滿足市場對標的公司產品快速增長的需求，標的公司於2024年在原州市新建了第二工廠，目前新工廠已獲得了韓國GMP認證，預計將於2025年第二季度開始投產。公司產品AestheFill已獲得了34個國家和地區的註冊批準，PowerFill獲得了24個國家和地區的註冊批準。標的公司的產品自上市以來，其安全性與有效性已經得到市場的充分認可，並有多篇國際學術文章發表。
本次交易是公司開啓國際化戰略的關鍵舉措，有助於公司進一步夯實在醫美注射填充產品市場的領先優勢，爲公司未來業績的持續增長注入動力。標的公司核心產品爲可再生類注射產品，目前該類產品的全球市場增速較快，競品相對較少。標的公司的核心產品已經獲得34個國家和地區的註冊批準，並且建立了廣泛的分銷體系，擁有一定的先發優勢。標的公司產品的主要成分爲PDLLA微球和羧甲基纖維素鈉，產品具有使用方便，安全性高等特點，其有效性已經得到市場的充分認可。標的公司產品AestheFill於2024年1月獲得了中國國家藥品監督管理局(NMPA)證書（國械注進20243130043），並於當年實現在中國地區的銷售。交易完成後，通過整合公司與標的公司雙方的研發、生產和銷售資源，將充分發揮協同效應，有助於公司產品迅速走向國際市場，提升來自國際市場的產品收入；同時，標的公司作爲公司的國際化業務平臺，公司將充分發揮在研發、生產、供應鏈及管理方面的經驗，助力標的公司豐富產品品類、降低生產成本、提高管理效率。
