雲鋒金融(00376.HK)附屬訂立混合型資產抵押融資╱投資協議
格隆匯3月7日丨雲鋒金融(00376.HK)公告，於2025年3月7日，公司非全資附屬公司萬通保險（作爲貸款方）、New Alternative（作爲借款方）及Yunfeng Capital（作爲擔保方）訂立了混合型資產抵押融資╱投資協議。據此，萬通保險同意根據混合型資產抵押融資╱投資協議的條款及條件向New Alternative提供本金爲76億港元的有抵押非循環定期貸款融資。
New Alternative應將融資所得資金僅用於符合投資指引的投資，以及用於結算因投資而產生的相關管理費及其他費用及╱或開支，並由Yunfeng Capital作爲投資經理就投資提供建議。NewAlternative應至少支付基本利息（即未償還金額每年5.5%的單利率）並在適用的情況下支付花紅利息，以使萬通保險總共可獲得相當於投資淨回報80%的利息收入。
根據混合型資產抵押融資╱投資協議，Yunfeng Capital就New Alternative在混合型資產抵押融資╱投資協議項下及由此產生的義務而就New Alternative的股份以萬通保險爲受益人簽署股份押記，爲該融資項下任何提款的先決條件。New Alternative還承諾，其應就任何特殊目的公司的股份以萬通保險爲受益人簽署股份押記，作爲New Alternative在混合型資產抵押融資╱投資協議項下及由此產生的義務的擔保。
根據混合型資產抵押融資╱投資協議授出的融資與萬通保險旨在實現多元化的投資組合的投資管理方法一致。根據混合型資產抵押融資╱投資協議，基本利息提供的投資回報與萬通保險購買的債務證券所產生的收益相若。另一方面，花紅利息可提供與其他私募股權基金一致的類似股權投資回報，私募股權基金通常規定普通合夥人或基金經理獲得私募股權基金投資淨回報的20%作爲業績提成，讓投資者保留剩餘的80%。連同增信條款（包括但不限於借款人及特殊目的公司的股份質押），混合型資產抵押融資╱投資協議透過由Yunfeng Capital依照投資指引構建的相關多元化投資組合，並通過增信結構產生投資回報。
