A股“妖王”隕落：雙成藥業深夜終止重組，或陷退市危機
歷時半年的跨界併購昨夜宣告終止了。
3月10日晚間，雙成藥業發佈公告稱，公司決定終止發行股份及支付現金購買奧拉股份100%股份。
對於終止的原因，雙成藥業在公告中指出，此次交易因公司與部分交易對方仍未能就交易對價等商業條款達成一致意見而終止，公司承諾未來一個月內不再籌劃重大重組事項。
不少投資者在股吧表示，“今天進來的爽歪歪了要吃板了”、“今晚註定無眠”……
重組折戟
回溯這段重組歷程，2024年8月，雙成藥業發佈停牌公告，公司正在籌劃重大資產重組暨關聯交易，擬通過發行股份及支付現金的方式向奧拉投資、WinAiming等25名交易對方購買其合計所持有的奧拉股份100%股份，並向不超過35名特定投資者募集配套資金。
此後，公司股票一直停牌至當年9月10日，公司發佈了交易預案，具體交易價格未定，但爲收購而發行股份的價格定爲3.86元/股。
2024年11月9日，雙成藥業再次發佈關於重大資產重組的進展及風險提示公告。根據《深圳證券交易所股票上市規則》的相關規定，如2024年度公司不能實現利潤總額、淨利潤或者扣除非經常性損益後的淨利潤均爲正，且扣除後的營業收入低於3億元，公司股票將被深圳證券交易所實施退市風險警示（*ST）。
然而，僅僅過了6個月，雙成藥業就宣佈終止重組。
由於各交易對方取得標的公司股權的時間和成本差異較大，交易各方對本次交易的預期不一，儘管公司與交易對方進行了多輪磋商談判，但公司與部分交易對方仍未能就交易對價等商業條款達成一致意見。
因此，公司決定終止發行股份及支付現金購買資產並募集配套資金暨關聯交易事項。公司承諾自公告披露之日起一個月內不再籌劃重大資產重組事項。
停牌前放量大漲
自重組消息公佈後，雙成藥業的股價經歷過山車一般的走勢。
2024年9月11日復牌後，市場對這次重組的反應更加強烈。9月11日-10月22日期間，雙成藥業錄得21個漲停板，股價從5.22元/股飆升至40.98元/股，區間累計漲幅達到了685%。不過狂歡後，股價呈現斷崖式下跌，到今年1月末跌至13.07元/股。
3月11日，雙成藥業開盤跌停，封單金額超2億元，股價較峯值已跌超66%，市值蒸發超百億元。
更糟糕的是，2016-2023年，公司連續8年扣非後歸母淨利潤處於虧損狀態，合計虧損達7.23億元。在此期間，年營業收入始終維持在3億元上下。
除了雙成藥業，重組標的奧拉股份同樣問題重重。
儘管奧拉股份在2024年1-7月實現了3.07億元的淨利潤，但這種盈利主要依賴於一次性IP授權交易，可持續性存疑。另外，奧拉股份2021年至2023年分別虧損10.96億元、8.56億元、9.62億元，業績波動劇烈。
此外，雙成藥業預計2024淨利潤虧損5500萬-8000萬元，且扣除後營業收入爲1.4億元至1.8億元，淨利潤虧損，且年營業收入不足3億元，根據深圳證券交易所最新的股票上市規則，公司股票將被實施退市風險警示。
