龍光(3380.HK)與投資人積極溝通,多元化重組方案兼顧各方訴求

近期多家房企債務重組順利進行,爲房地產行業走出困境帶來更多希望。

2月25日,遠洋集團也發佈公告宣佈,旗下4只境內債券自當日起停牌,公司將在寬限期內持續與投資人溝通,努力制定和落實相關問題的解決方案,爭取妥善解決相關債務問題,被認爲將再次對境內債券進行重組。

2月27日,龍光集團(03380.HK)子公司深圳市龍光控股有限公司也公告,公司擬推動整體境內債重組。

此前1月21日,融創發佈公告披露,公司全資附屬公司融創房地產集團有限公司十筆債券的重組方案已全部經相關債券持有人會議審議通過,旗下共計10筆、總規模達154億元的境內債整體重組宣告成功,預計可削降超過50%的境內公開市場債券規模,留債部分最長展期達9.5年,且5年內不再有兌付壓力。

與此前的債務展期不同,目前房企債務重組均採取多元化的重組方式和新老工具結合,爲房企債務重組提供了更多思路。

華泰證券曾研報指出,目前房企需要的是一次真正意義上的債務重組,系統性、長期性地解決債務風險。中指研究院企業研究總監劉水錶示,現階段債務展期難以從根本上真正解決問題,整體債務重組能夠從源頭減少債務,幫助企業真正走出債務危機,更好地保護債權人利益。

有知情人士透露,龍光已與投資人就重組方案進行了初步溝通,整體反饋較爲積極正面,預計龍光將在近期向市場推出正式的債務重組方案。有投資人表示,方案設計相對合理且全面,能夠較好地兼顧不同類型投資人的訴求。投資人普遍希望公司儘快推出債務重組方案,後續將根據各選項的情況進行綜合評估和選擇。

據悉,龍光本次將進行一攬子債務重組,旨在從根本上解決公司公開市場債務的償債問題,結合公司實際銷售現狀、經營情況和基本面,制定切實可行的債務重組方案,在一定程度上合理"以物抵債"和削減債務規模,穩定生產經營、完成保交樓任務,最終有效實現債務風險的化解。

從市場傳出的方案來看,此次龍光債務重組拿出了現金、資產、股票等多項資源,包括折價購回、資產抵債、債轉股、特定資產和全額展期留債。多元化的選項給投資人提供了更多靈活性和退出路徑,投資者可以根據自己的偏好及需求自願選擇。

其中,在現金收購選項中,龍光擬以面值15%的價格發起折價購回;在資產抵債中,提供了多種形式的抵債方式;在債轉股選項中,擬增發股票,利用該部分定增股票抵償境內債券份額;特定資產選項則擬以上海區域某商業項目設立信託,境內債券轉換爲信託份額,享有該項資產的相關收益權;展期留債爲不削債選項,未參與其他選項的債券將足額展期9.5年,利息降至1%,自第5年期末開始分期兌付。

此次龍光提供的資產抵債安排頗具新意,相比之前融創以應收賬款作爲抵債資產,龍光本次拿出了實打實的資產擬用於抵債。

在當前艱難的市場環境及償債資源有限的情況下,這對困難重重的房企而言十分不易。該選項如能最終落地,龍光將有效化解債務風險,爲其他房企提供債務重組的新思路。
