比亞迪股份(01211.HK)擬配售新H股總籌435.09億港元，加速智能化與出海戰略
格隆匯3月4日丨比亞迪股份(01211.HK)發佈公吿，公司和配售代理(即高盛(亞洲)、UBS AG Hong Kong Branch及中信里昂證券)於2025年3月3日(收市時間後)訂立了配售協議，根據配售協議所列條款並在配售協議所列條件的規限下，公司同意按配售價每股H股335.2港元發行配售股份(即公司將根據配售協議的條款並遵守其中的條件，發行1.298億股新H股)，而配售代理已分別單獨同意作為公司的代理，以按盡力基準促使承配人按配售價購買配售股份。配售股份將根據一般授權配發及發行。
配售股份相當於現有已發行10.98億股H股的約11.82%，及於本公吿日期已發行股份總數的約4.46%。假設從本公吿日期起至配售完成，除發行配售股份外，公司已發行股本沒有其他變化，則配售股份約佔經擴大已發行H股數目約10.57%及配售股份配發及發行後經擴大已發行股份總數的約4.27%。公司將向聯交所申請配售股份在聯交所上市及買賣，遵守中國證監會規定並完成與本次配售有關的中國證監會備案。公司已委聘招銀國際融資擔任配售事項的牽頭經辦人。
配售為公司進一步提升技術實力、提速出海進程，亦通過吸引若干高品質機構投資者參與配售，進一步豐富公司股東基礎。董事認為，配售協議的條款(包括但不限於配售價)屬公平合理並符合公司及其股東的整體利益。假設所有配售股份全數配售，配售所得款項總額預計約為435.09億港元，而經扣除佣金和估計費用後的配售所得款項淨額預計約為433.83億港元。配售所得款項淨額擬作集團研發投入、海外業務發展、補充營運資金以及一般企業用途。
