招商局港口(00144.HK)擬購買巴西Vast的70%股權 經調整後的最終購買價不得超過7.14億美元
格隆匯2月28日丨招商局港口(00144.HK)公告，於2025年2月28日，公司及買方（公司全資附屬公司）與賣方及Vast訂立購股協議，據此，買方已同意有條件向賣方購買銷售股份，佔Vast股本總額的70%。於交割後，公司將透過買方持有Vast股本總額的70%，而Vast股本總額餘下的30%將由Prumo持有。Vast將成爲公司的間接附屬公司，而其財務業績將併入集團的財務業績。
買方於交割時應付的購買價應爲等於4.48億美元的巴西雷亞爾金額，並可根據於交割日期時 Vast的現金結餘、尚未償還債務、慣常債務類負債及營運資金的實際金額予以調整。經調整後的最終購買價於任何情況下均不得超過7.14億美元。
Vast爲一間於巴西註冊成立的公司，於巴西里約熱內盧阿蘇港（Port of Açu）經營陸上原油轉運碼頭。阿蘇港爲一個工業深水港口，距離巴西的主要近海鹽層下油田不到24小時航行距離。Vast是巴西唯一能夠接待VLCC（超大型油輪）的非巴西國家石油公司所營運的私人石油碼頭。目前，巴西約30%的原油出口通過該碼頭運輸。該碼頭目前的平均日處理量爲每天560,000桶，許可容量爲每天120萬桶。於本公告日期，Vast分別由Prumo及API持有80%及20%的權益。摘錄自Vast於2024年6月30日的管理賬目，其綜合總資產及綜合負債淨額分別約爲 11.15億美元及1.15億美元（分別相當於約86.97億港元及8.97億港元）。

Participações S.A.後，公司收購Vast將使集團繼續於拉丁美洲地區擴展及進一步鞏固其全球地位。此外，該項投資將爲集團提供機會可利用Vast的海運樞紐進一步發展其全球綜合港口服務網絡。
