中旭未來(09890.HK)與愷英網絡共同投資“極逸公司”，加速AI大模型在遊戲行業應用
格隆匯2月27日丨中旭未來(09890.HK)發佈公吿，2025年2月26日，公司間接全資附屬公司香港遠達未來有限公司(“遠達未來”)與愷英網絡(002517.SZ)附屬公司杭州愷興網絡科技有限公司(“杭州愷興”)簽訂合作備忘錄，擬共同投資極逸公司(暫定名，以工商登記名稱為準)(“標的公司”)，共同推進AI大模型技術在遊戲領域的發展。
根據披露，遠達未來的投資方式為貨幣出資，總計投入人民幣1000萬元整，投後將持有標的公司10%的股權。標的公司主要業務為開發“形意”AI大模型和人工智能引擎在遊戲、影視和其他泛娛樂領域的商業化應用。標的公司重要管理層必須與標的公司簽訂不少於3年的勞動合同或保持聘用、合作關係，即重要管理層應持續為標的公司工作不少於3年。標的公司如需進行海外分拆，遠達未來與杭州愷興雙方同意按照現有股權結構平移至海外業務公司以保障所有股東利益。遠達未來有權要求杭州愷興提供相關資料以讓遠達未來完成盡調工作，杭州愷興須全力配合遠達未來的盡調工作。遠達未來有權根據盡調情況做出最終投資與否的決定。
公吿表示，通過簽訂本合作備忘錄並開展與戰略合作伙伴的戰略合作，公司相信人工智能的多元化應用將提升集團的遊戲發行及運營成效。利用“形意”AI大模型的技術支持，集團可優化旗下游戲產品的發行及運營流程，降低運營成本。AI技術的應用可助力集團實現精準營銷，優化新遊戲與研發商的對接及測試效率，加速新遊戲上市速度。同時，使用AI輔助遊戲開發與內容生成，有助於降低開發成本，提升遊戲創意及玩家體驗，助力集團實現品牌價值最大化。
此次戰略合作標誌着公司與愷英網絡的協作關係實現了從資源整合到能力耦合的躍遷。雙方不僅延續在遊戲聯合開發、IP運營及全球化發行領域的成熟合作模式，更通過共同投資AI公司實現技術底層的深度協同，充分發揮雙方優勢，強強聯合、優勢互補，實現資源共享、互利共贏，增強雙方的整體競爭力和長期發展潛力。
