遠東發展(00035.HK)資產優化：倫敦市政廳及酒店物業易主AMTD IDEA Group
格隆匯2月26日丨遠東發展(00035.HK)發佈公告，2025年2月25日，酒店賣方(即Quality Drive Limited，爲公司的間接全資附屬公司)與買方(即AMTD IDEA Group)訂立酒店買賣協議，據此，酒店賣方同意出售而買方同意購買酒店物業公司股份，酒店代價爲2265.6萬英鎊(相當於約港幣2.22億元)，另加酒店目標集團的資產淨值(不包括酒店物業的價值)。同日，市政廳賣方(即Hornsey TH Holdco Limited，爲公司的間接全資附屬公司)與買方(即AMTD IDEA Group)訂立市政廳買賣協議，據此，市政廳賣方同意出售而買方同意購買市政廳物業公司股份，市政廳代價爲2454.4萬英鎊(相當於約港幣2.40億元)，另加市政廳目標集團的資產淨值(不包括市政廳物業的價值)。
酒店物業公司爲公司的間接全資附屬公司，爲一間物業持有公司。其爲酒店物業的目前業權持有人。酒店營運公司爲酒店物業公司的全資附屬公司，從事酒店營運業務。預期酒店營運公司將於酒店物業準備投入業務營運時營運酒店物業。市政廳物業公司爲公司的間接全資附屬公司，爲一間物業持有公司。其於市政廳完成或的前將爲市政廳物業的業權持有人。市政廳營運公司爲市政廳物業公司的全資附屬公司，從事市政廳營運業務。預期市政廳營運公司將於市政廳物業準備投入業務營運時營運市政廳物業。
酒店物業爲由主租賃擁有人、物業公司與Crouch End Management Limited所訂立日期爲2024年11月15日有關位於Hornsey Town Hall, The Broadway, London N8的部分低層地下、地下、一樓及二樓物業的分租約中所出租的全部物業。市政廳物業爲主租賃擁有人、公司與地方當局所訂立日期爲2018年5月2日有關土地及樓宇(稱爲Hornsey Town Hall Sqaure and Annexe, The Broadway)的主租約所出租物業的各部分，不包括酒店物業以及餐飲單位租約涵蓋的空間。買方AMTD IDEA Group(紐交所：AMTD；新交所：HKB)爲紐約及新加坡雙重上市公司。AMTD IDEA Group爲企業集團，核心業務組合涵蓋全球媒體及娛樂、數碼投資及創新、優質資產以及酒店行業。
