禾豐股份(603609.SH)：擬收購肉禽業務參股公司部分股權暨取得其控制權
格隆匯2月25日丨禾豐股份(603609.SH)公佈，爲推動公司白羽肉雞事業發展，進一步整合肉禽產業股權，公司擬以自有及自籌（如需）資金向金天明、馬力、金鑫3名自然人購買其持有的鞍山市九股河食品有限責任公司、鞍山豐盛食品有限公司、檯安縣九股河農業發展有限公司、檯安豐九牧業有限公司、葫蘆島九股河食品有限公司、葫蘆島九股河飼料有限公司、葫蘆島九股河牧業有限公司、錦州九豐食品有限公司、錦州鑫豐食品有限公司、凌海市九股河飼料有限責任公司、遼寧裕豐生物科技有限公司、鞍山安泰塑料製品有限公司、鞍山九股河紙業包裝有限公司13家公司部分股權，公司與交易對手方簽訂《關於鞍山市九股河食品有限責任公司等十三家公司的股權轉讓合同》，本次交易的基礎對價合計爲35,398.30萬元，並根據2025至2029年度目標公司的盈利情況設置了交易對價調整機制：
在上述股權轉讓價款基礎上，在滿足如下條件時，受讓方將向出讓方支付一筆股權轉讓附加價款。股權轉讓附加價款的金額=本次收購股權對應的各目標公司未來五年累計淨利潤×出讓方在本合同中轉讓的該目標公司股權比例。目標公司爲多家公司的，股權轉讓附加價款爲各目標公司按照前述公式計算所得結果之和，即合併計算總金額爲最終股權轉讓附加價款，不按照單獨一家企業計算和支付股權轉讓附加價款。如果各目標公司5年累計淨利潤有盈有虧，虧損企業計算時淨利潤爲負數，則各目標公司所得結果加總計算時，如果所有目標公司加總計算結果大於零，則受讓方應於2030年4月30日前按照該加總計算結果金額支付該股權轉讓附加價款；如果所有目標公司加總計算結果小於零，則受讓方無需支付股權轉讓價款。
本次收購完成後，上述13家標的公司將成爲公司的控股子公司，納入公司合併報表範圍。本次交易不構成關聯交易，不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。本次交易不涉及發行股份，也不會導致公司控制權變更。
