恆大汽車(00708.HK)：擬出售瑞典一附屬公司20%股權
格隆匯2月25日丨恆大汽車(00708.HK)公佈，賣方National Electric Vehicle Sweden AB(公司的間接全資附屬公司)於2024年11月25日訂立以下協議：(a)20%股份協議，據此，賣方同意出售，而股份買方Logistikfastigheter i Trollhättan AB同意購買20%股份，總對價爲6000萬瑞典克朗(約4378萬港元)；及(b)本票出售協議，據此，賣方同意出售，而票據買方(共同持有股份買方45%的股份)同意購買本金總額爲6000萬瑞典克朗(約4378萬港元)的本票，總對價爲3000萬瑞典克朗(約2189萬港元)。
發行本票乃爲支付股份買方根據早期出售事項購買80%股份的所應付對價2.40億瑞典克朗(約1.75億港元)的一部分。早期出售事項的餘下對價已全數以現金清償。
據悉，集團主要從事新能源汽車技術研發、生產及銷售服務。目標公司AB Trollhättan Propellern 13乃由公司透過賣方間接全資擁有。賣方及目標公司均於瑞典成立。於2012年，賣方主要從事汽車研發及製造業務。目標公司爲一間投資控股公司，其持有土地及樓宇，包括該物業，其自2012年起全部由集團擁有。由於該等物業於過去十年內一直未投入運營，且至少於2022年未產生收入，故其於2023年被轉讓予目標公司，以促進後續出售以提高流動性。該物業位於瑞典特羅爾海坦市，總建築面積約爲400,000平方米，曾爲賣方的前生產設施。
爲向賣方提供現金流動性以履行其付款義務(包括納稅義務)，賣方進行了早期出售事項，將80%股份以總對價2.40億瑞典克朗(約1.75億港元)出售予買方，此前於2023年3月前後透過歐洲各種媒體渠道以廣告方式邀請報價。1.80億瑞典克朗(約1.31億港元)以現金支付，而剩餘的6000萬瑞典克朗(約4378萬港元)則以發行本票方式支付。於早期出售事項完成後，目標公司不再爲附屬公司，成爲公司的聯營公司，且不再於集團的財務報表中綜合入賬。
