達力普控股(01921.HK)正積極考慮在沙特交易所尋求雙重上市或第二上市可能性
格隆匯2月18日丨達力普控股(01921.HK)公告，集團自願作出，以知會其股東及潛在投資者有關集團中東戰略發展規劃的最新資料。
根據該等公告，集團(i)已取得沙特阿拉伯投資部頒發的工業投資許可證，以在沙特阿拉伯興建設施及未來進行投融資；(ii)已成功取得沙特阿拉伯商務部頒發的公司註冊證明；(iii)已在沙特知識產權局成功註冊其商標(圖形標和文字標)；(iv)已與沙特阿美的全資附屬公司SPARK就集團建立生產設施簽署意向函；(v)已就建立上述生產設施與中冶京誠工程技術有限公司簽署合作備忘錄；及(vi)已獲納入沙特阿美的電子市場供應商數據庫。
爲進一步推動集團的中東戰略發展規劃、深化集團與中東地區的聯繫並加強與當地政府、投資者及企業的關係，公司已實施以下措施：
1.公司已參與於2025年2月18日舉行的第五屆沙特資本市場論壇。
2.公司一直在考慮各種融資方式，包括但不限於股本融資，如向專業投資者發行股份，以爲其在中東建立生產設施及其他正在進行及未來的發展計劃提供資金。因此，公司已委聘BMG Financial Group爲財務顧問，就沙特阿拉伯的若幹籌資活動提供專業意見及支援。根據BMG所提供的資料，其爲一家位於沙特阿拉伯並獲得沙特阿拉伯資本市場管理局(Capital Market Authorityof Saudi Arabia)許可的投資銀行服務供應商。
3.公司正積極考慮在沙特交易所尋求雙重上市或第二上市的可能性。爲進一步評估及評價該計劃的可行性及潛在利益，公司已接觸沙特阿拉伯多個知名專業顧問。於本公告日期，公司與BMG訂立諒解備忘錄。
根據諒解備忘錄，公司擬委聘BMG爲財務顧問，就評估提供各項諮詢、顧問及統籌服務。諒解備忘錄旨在記錄公司與BMG雙方間的初步意向，僅作爲進一步磋商的平臺，並未就委聘BMG出任公司有關評估的財務顧問訂立具約束力的協議。公司亦已委聘Khaligyoun Legal Advisors爲其沙特阿拉伯法律顧問，就評估提供沙特阿拉伯相關法律法規及規則方面的法律意見及支援。
