新時達(002527.SZ)：2月17 日起復牌
格隆匯2月16日丨新時達(002527.SZ)公佈，2025年2月14日，青島海爾卡奧斯工業智能有限公司(以下簡稱"海爾卡奧斯工業智能")與紀德法、劉麗萍、紀翌簽署《股份轉讓協議》，協議約定紀德法將其持有的公司無限售流通股29,652,066股(佔公司股份總數的4.47％)依法轉讓給海爾卡奧斯工業智能；劉麗萍將其持有的公司無限售流通股27,685,828股(佔公司股份總數的4.18％)依法轉讓給海爾卡奧斯工業智能；紀翌將其持有的公司無限售流通股8,968,235股(佔公司股份總數的1.35％)依法轉讓給海爾卡奧斯工業智能。紀德法、劉麗萍、紀翌合計轉讓的股份數量為66,306,129股(佔公司股份總數的10％)。
2025年2月14日，海爾卡奧斯工業智能與紀德法、劉麗萍、紀翌簽署《表決權委託協議》，約定紀德法、劉麗萍、紀翌不可撤銷地將合計持有的公司本次股份轉讓完成後剩餘全部股份(即對應公司127,583,569股股份，佔公司股份總數的19.24％)所享有的公司表決權(包括但不限於召集權、提案權、提名權、股東會審議事項的表決權及與表決權相關的其他表決性權利)委託給海爾卡奧斯工業智能，表決權委託期限為自《股份轉讓協議》標的股份交割日起至公司向海爾卡奧斯工業智能定向發行股票在中國證券登記結算有限責任公司深圳分公司完成股份登記手續之日或自《股份轉讓協議》標的股份交割日起18個月孰晚。2025年2月14日，海爾卡奧斯工業智能與紀德法、劉麗萍、紀翌簽署《一致行動協議》，確定海爾卡奧斯工業智能與紀德法、劉麗萍、紀翌的一致行動關係。
通過本次協議轉讓、本次表決權委託及一致行動安排，海爾卡奧斯工業智能將取得公司66,306,129股股份(佔公司總股本的10.00％)及127,583,569股股份(佔公司總股本的19.24％)所對應的表決權，合計控制公司193,889,698股股份(佔公司總股本的29.24％)所對應的表決權。本次協議轉讓、表決權委託及一致行動安排完成後，海爾卡奧斯工業智能將成為公司控股股東，海爾集團公司將成為公司實際控制人。此外，海爾卡奧斯工業智能擬認購公司向特定對象發行的152,504,097股股票。本次發行完成後，在不考慮其他因素可能導致股本數量變動的情況下，按照擬發行股數計算，海爾卡奧斯工業智能將直接持有公司218,810,226股股份(佔公司發行後總股本的26.83％)。
經申請，公司股票(證券代碼：002527，證券簡稱：新時達)將於2025年2月17日(星期一)開市起復牌交易。
