五礦資源(01208.HK)擬收購英美資源於巴西的鎳業務 2月19日起復牌
格隆匯2月18日丨五礦資源(01208.HK)發佈公吿，2025年2月18日，買方(MMG Singapore Resources Pte. Ltd.，公司全資附屬公司)就目標業務(即英美資源於巴西的鎳業務，具體包括目標集團及鎳銷售業務)的收購事項訂立該協議。交割後，目標業務將為集團全資擁有，集團的合併財務報表將合併入賬其財務業績、資產及負債。
目標公司(即Anglo American Níquel Brasil Ltda.)為一間於巴西註冊成立的公司，從事鎳鐵的開採、加工及銷售。截至本公佈日期，目標公司由股份賣方全資擁有。目標集團持有英美資源於巴西的鎳業務，該業務由兩處活躍礦山及兩個綠地發展項目組成。根據英美資源於2023年的綜合年報，目標公司位於Barro Alto 及 Codemin的活躍礦山生產鎳鐵，其大部分用作生產高質量不鏽鋼及耐熱鋼。目標集團位於巴西的Jacaré及Morro Sem Boné綠地發展項目，分別擁有未開發紅土鎳礦及潛在礦藏。
公吿表示，收購事項符合集團擴大收益、地區覆蓋及基本金屬商品品種的增長策略，標誌着集團首次在巴西進行投資，並將鎳加入到其礦產資源量及礦石儲量當中。該項目支持集團多元化發展的策略目標，鞏固集團在現有地區的地位，與集團的能力及經驗發揮協同效應，並在市場週期的反週期時點執行。
目標集團是全球最大及成本最低的鎳鐵生產商之一。 該公司歷史運營保持穩定，Barro Alto及Codemin的鎳年產量約為40千噸，即使在目前的鎳價水平下，仍能持續產生正面的運營收益及現金流。該公司在環境及可持續發展措施方面一直保持頂尖的表現，這是目標集團的一個關鍵優勢，將有助於提升公司作為全球領先的可持續發展採礦公司的形象。由於目標公司的鎳賦存量約為520萬噸，使其成為全球第三大鎳賦存量，收購事項對集團而言是一個獨特及寶貴的機會，可為建立一個產量提升前景廣闊的大型區域平台奠定基礎。
應公司要求，股份自2025年2月18日下午一時正起於香港聯交所暫停買賣，以待刊發本公佈。公司已向香港聯交所申請股份自2025年2月19日上午九時正起恢復買賣。
