擬收購海蘭寰宇100%股權，海蘭信今日復牌20cm漲停
2月16日晚間，海蘭信發佈公告，公司擬以發行股份及支付現金方式購買海南海蘭寰宇海洋信息科技有限公司100%股權，並募集配套資金，預計構成重大資產重組和關聯交易。
值得一提的是，公司於1月24日開市起停牌，今天（2月17日）復牌後便“20cm”漲停，漲停價10.66元/股，總市值爲76.80億元。截至2024年9月30日，公司股東有4.571萬戶。
擬購海蘭寰宇100%股權
公告顯示，海蘭信擬通過發行股份及支付現金的方式，向海南省信息產業投資集團有限公司等17名交易對方，購買海南海蘭寰宇海洋信息科技有限公司（簡稱“海蘭寰宇”）100%的股權，並募集配套資金，此次交易價格暫未確定。
此次重組前，上市公司主營業務聚焦於智能航海、海洋觀探測及海底數據中心三個方面。標的公司海蘭寰宇主營業務聚焦爲涉海軍地客戶提供對海監測雷達產品、雷達組網綜合監測系統及雷達監測信息服務。
重組完成後，上市公司通過取得標的公司控制權，拓寬上市公司的主營業務範圍，優化上市公司的業務佈局，提升主營業務持續發展的能力。
交易後預計上市公司的總資產、淨資產、營業收入及淨利潤等財務指、標預計將有所增長，盈利能力將得以增強，有利於保護中小股東利益。
值得關注的是，海蘭寰宇長期專注於自主雷達產品，還突破了雷達多站組網、多源目標融合、海上目標大數據分析挖掘等核心技術，推出了雷達組網綜合監測系統。截至目前，海蘭寰宇是業內首家實現數百個岸基小目標監視雷達實時組網的企業。
對於海洋監測設施建設投入大、週期長、維護難、效果差等缺點，海蘭寰宇創新性的推出了“政府規劃引導、企業建設運營、用戶購買服務”新模式。
扭盈爲虧
根據公司的三季報，2024年三季度海蘭信營業收入9579萬元，同比下滑43.87%；歸屬於上市公司股東的淨利潤-234萬元，同比下滑212.70%；歸屬於上市公司股東的扣除非經常性損益的淨利潤-471萬元，同比上漲5.54%；基本每股收益-0.0032元，同比下滑210.34%。
此外，公司還預計2024年實現淨利潤約680萬元-1000萬元，同比扭虧。2024年非經常性損益對海蘭信的利潤影響金額大約在2000萬元-4500萬元，上年公司非經常性損益3155.94萬元。
回看公司過去幾年的業績，2021年-2023年期間，公司分別實現營收9.02億元、7.24億元、7.54億元，歸母淨利潤分別4891萬元、-7.89億元、-1.16億元。
對於公司淨利潤大幅下滑，都與收購有不可分割的關係。
早在2022年，受疫情和實體清單的影響，子公司勞雷海洋、廣東藍圖在當年下半年經營業績不及預期，商譽存在減值跡象。其中，勞雷海洋進口代理業務無法開展，廣東藍圖業務普遍存在推遲、延期或取消訂單情況。部分客戶應收款賬齡延長及少數客戶經營困難等原因，公司基於謹慎性原則，確認信用減值損失。
