南玻Ａ(000012.SZ)：擬回購合計約1.56%至3.12%的A股和B股股份
格隆匯2月13日丨南玻Ａ(000012.SZ)公佈，公司擬使用自有資金和自籌資金（含商業銀行回購專項貸款等）通過深圳證券交易所交易系統以集中競價交易方式對部分人民幣普通股（A股）、境內上市外資股（B股）股份進行回購。
本次回購A股股份的價格不超過7.60元/股，回購B股股份的價格不超過3.13港元/股，均不高於董事會審議通過回購股份決議前30個交易日公司對應股票交易均價的150%。具體回購價格將在回購實施期間結合公司A股、B股股票在二級市場的價格、公司財務狀況和經營狀況確定。
公司本次用於回購A股的資金總額爲不低於24,300萬元人民幣，且不超過48,500萬元人民幣，以上資金包括交易手續費等相關費用；本次用於回購B股的資金總額爲不低於5,000萬港元（按照2025年2月13日港元兌人民幣匯率中間價1港元=0.92090元人民幣換算，摺合人民幣4,604.50萬元，具體以實際回購時的匯率爲準，下同），且不超過10,000萬港元（摺合人民幣9,209萬元），以上資金包括購匯、交易手續費等相關費用。
本次回購A股股份的資金來源爲公司的自有資金和自籌資金。其中公司已經取得了興業銀行股份有限公司深圳分行出具的《貸款承諾函》，同意爲公司提供股票回購貸款支持，貸款額度不超過人民幣43,650萬元，貸款期限不超過3年。本次回購B股股份的資金來源爲公司的自有資金。
按照本次回購A股股份的價格不超過7.60元/股進行測算，回購A股股份數量約爲3,197.3684萬股至6,381.5789萬股，佔公司目前已發行A股總股本的比例爲1.63%至3.25%，佔公司目前已發行總股本的比例爲1.04%至2.08%。按照回購B股股份的價格不超過3.13港元/股進行測算，回購B股股份數量約爲1,597.4441萬股至3,194.8882萬股，佔公司目前已發行B股總股本的比例爲1.44%至2.88%，佔公司目前已發行總股本的比例爲0.52%至1.04%。本次回購A股和B股股份合計約佔公司目前已發行總股本比例爲1.56%至3.12%。
本次回購A股股份的資金來源爲公司的自有資金和自籌資金。其中公司已經取得了興業銀行股份有限公司深圳分行出具的《貸款承諾函》，同意爲公司提供股票回購貸款支持，貸款額度不超過人民幣43,650萬元，貸款期限不超過3年。本次回購B股股份的資金來源爲公司的自有資金。
