新娛科控股(06933.HK)：將向時光娛樂國際注資2000萬港元
格隆匯2月12日丨新娛科控股(06933.HK)公佈，有關視作出售時光娛樂國際，其將主要從事有關利用區塊鏈技術開發社交金融流動應用程式及提供技術支援。於2025年2月12日，SEHKIHL(公司的間接全資附屬公司)、時光娛樂國際(公司的間接非全資附屬公司)與TIMCL訂立了股東協議，以規管(其中包括)SEHKIHL與TIMCL(作爲時光娛樂國際股東)之間的關係，以及SEHKIHL及TIMCL各自對時光娛樂國際的承諾。
根據股東協議，SEHKIHL將向時光娛樂國際注資2000萬港元，而TIMCL將促使向時光娛樂國際轉讓TIMCL開發的社交金融流動應用程式核心源代碼以及涉及社交金融流動應用程式的其他相關知識產權，構成了公司一項透過實物出資的收購事項。
董事認爲，社交金融將重塑社交媒體的業務模式，具較高的業務發展潛力。因此，集團與TIMCL合作成立時光娛樂國際，發展社交金融流動應用程式業務。於公告日期，TIMCL開發了社交金融流動應用程式框架模塊核心源代碼，其中包括登陸、新用戶註冊、身份認證、公告及通知、時間代幣發行、時間代幣價格審覈、錢包、一對一聊天、分享、主頁、熱點推薦及個人中心等功能模塊。開發社交金融流動應用程式現有核心源代碼產生的總投資成本及員工成本約爲22.9百萬港元，其中包括市場研究分析、產品設計、開發系統、模塊、數據庫、應用程序接口及用戶界面、測試模塊、集成、功能及兼容性，以及優化等成本。
訂立股東協議後，TIMCL將向時光娛樂國際轉讓社交金融流動應用程式核心源代碼，以進一步開發社交金融流動應用程式。時光娛樂國際預期將動用注資所得款項開發加密貨幣交易、羣聊、語音聊天及紅包模塊，包括開發加密貨幣交易、加密錢包集成、賬戶去中心化等若幹第三代互聯網(Web 3.0)技術模塊。預期時光娛樂國際可於2025年6月或之前完成上述社交金融流動應用程式模塊。開發後，用戶可於平臺購買內容創作者付費內容以及購買關鍵意見領袖(KOL)的時間。平臺可從以下來源賺取收入：(i)內容創作者將發佈付費內容，平臺於瀏覽者購買時收取手續費；(ii)關鍵意見領袖將以代幣形式列出並出售其時間，平臺將向關鍵意見領袖收取該等時間代幣的發行費以及用戶於平臺交易該等時間代幣的手續費；及(iii)廣告收入。此外，時光娛樂國際可向第三方出售核心源代碼並提供維護服務以進行本地化，以便在不同國家推出平臺。
注資將由集團內部資源撥付。於2024年6月30日，集團錄得現金及現金等價物約人民幣7410萬元。由於集團預期不會進一步向時光娛樂國際注資，故董事認爲集團有足夠的運營資金維持其現有業務以及時光娛樂國際的運營。
