普甜食品(01699.HK)：接獲有關張震及梁立權向相關律師事務所提供總額2800萬港元的託管指示副本
格隆匯1月6日丨普甜食品(01699.HK)發佈業務更新公吿，於2025年1月3日，公司接獲有關張震及梁立權向相關律師事務所提供總額2800萬港元的託管指示副本，據此(1)律師事務所已接獲張震及梁立權所提供金額分別為2600萬港元及200萬港元以託管方式持有的託管資金(統稱"託管資金")；及(2)張震及梁立權各自已作出不可撤銷的指示，於公司取得復牌批准(不論是否有條件)後一個營業日內向Vandi Investments Limited("建銀實體"，建銀國際(控股)有限公司的附屬公司)發放託管資金，惟倘公司未能於2025年12月30日前取得復牌批准或公司被取消上市地位，託管資金可歸還予張震及梁立權。
於發放託管資金後，建銀債務重組將吿完成，而張震將成為建銀債務的唯一所有人。張震將認購不超過25%的公司經擴大已發行股份，代價為全額建銀債務。於經審核2023年年度業績中，建銀債務於2023年12月31日入賬為淨負債6.8億港元，其於建銀債務重組完成後不再作為負債。
公司已重啟石梯養豬場營運。公司謹此作出補充，石梯養豬場於2025年預期將就銷售自養生豬取得收益。2022年年度業績公吿已就石梯養豬場暫停運營計提減值人民幣3.28億元(「石梯養豬場減值」)。因石梯養豬場重啟運營後而可望就此作出部分撥回。
於2025年1月3日，公司接獲蔡晨陽先生("蔡先生"，主席兼控股股東，目前持有公司約47.95%股份)及三名其他債權人作出的承諾，即(1)彼等各自同意將債務總額人民幣39,959,100元的還款期延長至2028年1月3日，有關債務即時起將不再入賬為流動負債；及(2)除延後償還債務外，彼等各自原則同意將其債務轉化為公司股份，惟須待股東及監管機構批准後方可作實。
於2025年1月3日，為支持公司，公司六名現任董事(包括蔡先生)及兩名前任董事簽署承諾函，放棄公司結欠彼等的薪酬總額人民幣7,993,052元。
截至2023年12月31日，集團接獲政府補助人民幣12,820,000元，以政府補助資質建設的基礎設施尚未投入運營，該等款項入賬作為遞延收入。預計上述遞延收入將在基礎設施投入營運時(預計將為2025年)入賬為已變現收入。
基於上述最新發展情況，公司預期受建銀債務重組完成等上述正面業務發展帶動，將由截至2023年12月31日的流動負債淨額人民幣7.5億元逐漸改善為淨資產狀態。
