ST先河(300137.SZ)：公司控制權擬發生變更
格隆匯12月30日丨ST先河(300137.SZ)公佈，2024年12月28日，河北先河環保科技股份有限公司股東李玉國先生與公司控股股東青島清利新能源有限公司(簡稱“清利新能源”)、姚國瑞先生簽署了《關於表決權委託和股份轉讓等相關事項變更的協議》(以下簡稱“《變更協議》”)。
自《變更協議》簽署之日起，李玉國先生將其持有的公司51,869,478股股份所對應的表決權委託給姚國瑞先生行使，清利新能源不再享有表決權委託股份的表決權，委託期限至李玉國先生向姚國瑞先生或其指定的關聯方完成股權轉讓公司股份(包括司法處置後的剩餘的表決權委託股份)過户之日或自變更協議生效之日起滿36個月孰早之日止。
自《變更協議》生效之日起，李玉國先生在就有關先河環保的經營管理事項，行使有關的提案權、股東大會上的股東表決權(以下統稱“表決權”)時，應與姚國瑞先生保持一致行動。
李玉國先生所持有的32,282,000股股份因與段桂山之間的債務糾紛被上海市楊浦區人民法院司法凍結(以下簡稱“第一批凍結股份”)，第一批凍結股份被司法處置時，姚國瑞先生或其指定的關聯方將積極參與競拍以爭取獲得全部拍賣的股份。在李玉國先生第一批被凍結股份司法處置後，各方僅依據本《變更協議》之約定進行公司股份轉讓的交易。
在2025年6月30日前，姚國瑞先生或其指定的關聯方應自李玉國先生協議受讓26,830,000股公司的股份，在上述股份協議轉讓過户完成之次日起的18個月內，李玉國先生對於其所持剩餘股份行使表決權時與姚國瑞先生保持一致行動。
自本《變更協議》簽署之日起，姚國瑞先生通過清利新能源間接持有公司5,667,480股股份，通過河北智新達能新能源科技有限公司(簡稱“智新達能”)間接持有公司3,465,680股股份，同時，通過李玉國先生的表決權委託可以控制公司51,869,478股股份對應的表決權，通過一致行動安排實際可以控制李玉國先生名下剩餘11,121,451股股份所對應的表決權，因此，姚國瑞先生通過上述方式實際可以控制公司72,124,089股股份對應的表決權，佔目前公司總股份的13.44%，成為公司控股股東和實際控制人。
李玉國先生持有的公司62,990,929股股份已全部被司法凍結，其中15,802,699股被輪候凍結。第一批凍結股份被司法處置時，姚國瑞先生或其指定的關聯方存在未獲得全部第一批凍結股份的可能性，由此可能會影響公司控制權的穩定性。
