卓然股份(688121.SH)：重大訂單變更
格隆匯12月11日丨卓然股份(688121.SH)公佈，公司下屬全資子公司上海卓然數智能源有限公司(以下簡稱“卓數”)於2023年4月14日與振華石油化工有限公司(以下簡稱“振華石油”)簽訂了丙烷脱氫及環氧丙烷項目項下精細化工設備相關訂單合同，具體包括《30/67萬噸/年PO/SM主裝置及其配套模塊化設計製造安裝EPC總承包合同》(以下簡稱“PO/SM合同”)、《40萬噸/年丁烷反應單元工程設計製造安裝EPC總承包合同》(以下簡稱“丁烷合同”)、《26萬噸/年順酐主裝置及其配套模塊化設計製造安裝EPC總承包合同》(以下簡稱“順酐合同”;上述三個合同統稱為“原訂單”),原訂單總金額為693,600萬元人民幣。
原訂單簽署後，公司積極履行合同義務，但因受市場供需環境等多方位因素變化的影響，2024年12月6日，公司收到了振華石油《關於項目調整及後續變更事宜的吿知函》。公司高度重視該事項，並積極組織管理層帶領團隊親赴東營就項目所涉及的問題進行了全面梳理和針對性地分析研討。因化工原材料受國際原油價格及市場供應情況、地緣政治等因素的影響較大，後續項目執行存在一定不確定性，如繼續執行合同，預計項目未來回款可能存在滯後的風險，從而對公司資金運轉和經營產生不利影響。秉持着優化合理利用現有產能、不損害上市公司利益，切實保障廣大投資者權益的原則，經與業主友好協商一致，於2024年12月10日簽訂了《振華石油化工有限公司26萬噸/年順酐主裝置及其配套模塊化設計製造安裝結算協議》(以下簡稱“結算協議”)及《振華石油化工有限公司40萬噸/年丁烷反應單元模塊化設計製造安裝EPC項目及30/67萬噸/年PO/SM主裝置及其配套模塊化設計製造安裝EPC項目合同解除協議》(以下簡稱“解除協議”)。上述協議自簽訂之日起生效，原訂單變更後的最終結算金額為人民幣156,858,948.00元，除結算協議中約定的權利義務外，自解除協議生效後，原訂單約定的雙方之間的權利、義務關係終止，雙方不因原訂單解除而追究對方的任何責任。
原訂單為EPC總承包合同，按照相關會計準則項目收入根據項目履行進度以完工百分比法在合同履行期間確認。原訂單項下三個合同按序推進，其中“順酐合同”已執行工程詳細化設計、長週期設備採購、部分設備模塊化製造及交付，合同履行期間已收到對應的項目預付款、進度款等;“PO/SM合同”及“丁烷合同”項目未啟動。截至目前原訂單已確認收入36,981,592.26元(不含税金額)，公司已收到合同款7,500.00萬元，待結算款項81,858,948.00元(以上數據未經審計)。本次訂單變更是經過公司與業主協商後審慎研究的結果，原訂單的解除不會對公司財務及經營狀況產生重大不利影響。
