利福中國(02136.HK)建議以協議安排方式私有化及撤銷公司上市地位 擬12月9日復牌
格隆匯12月6日丨利福中國(02136.HK)公吿，要約人Fortune Spirit Group Limited與公司聯合宣佈，於2024年12月2日，要約人要求董事會向計劃股東提呈以計劃方式(即根據開曼公司法第86條的協議安排)將公司私有化的建議，建議涉及(i)註銷及剔除計劃股份，並就每股已註銷及剔除的計劃股份以現金向於計劃記錄日期的計劃股東支付註銷價作為代價；(ii)透過向要約人配發及發行與已註銷及剔除的計劃股份數目相同的新股份，並將公司賬簿內因註銷及剔除計劃股份而產生的進賬額用於悉數入賬繳足，按緊接註銷及剔除計劃股份前的數額同步維持公司已發行股本；及(iii)撤銷股份於聯交所的上市地位。
根據建議，倘計劃獲批准及落實，計劃股份將予以註銷及剔除，而作為代價，於計劃記錄日期的各計劃股東將有權就每股已註銷及剔除的計劃股份收取現金註銷價0.913港元。按每股計劃股份0.913港元的註銷價以及於本聯合公吿日期已發行367,408,208股計劃股份，並假設於計劃記錄日期或前將不會進一步發行股份，實施建議所需的現金金額約為335,443,693.90港元。
由非執行董事及全體獨立非執行董事(即陳楚玲、張美嫻、張悦文及林光蔚)組成的獨立董事委員會已由董事會成立，以就建議及計劃是否公平合理，以及是否在法院會議上投票贊成計劃及在股東大會上投票贊成與實施建議有關的決議案向獨立股東提供意見。
於計劃生效後，所有計劃股份將被註銷及剔除(並向要約人配發及發行數目相同入賬列作繳足的新股份)，且被註銷及剔除的計劃股份的股票此後不再具有作為所有權文件或證據的效力。公司將根據上市規則第6.15(2)條申請撤銷股份於聯交所的上市地位，並於生效日期後在切實可行情況下儘快生效。
公司已向聯交所申請自2024年12月9日上午九時正起恢復股份於聯交所買賣。
