上工申貝(600843.SH)：仍為無實際控制人、無控股股東
格隆匯11月28日丨上工申貝(600843.SH)公佈，浦科飛人為公司第一大股東，上海浦科為浦科飛人的控股股東，宏天元合夥持有上海浦科51%的股份，為上海浦科控股股東。上海宏天元投資管理有限公司（以下簡稱“宏天元管理”）持有宏天元合夥16.4474%的份額，擔任執行事務合夥人；上海申宏元企業管理有限公司（以下簡稱“申宏元管理”）持有宏天元合夥11.0691%的份額，擔任有限合夥人。
2024年11月28日，宏天元管理與廣州先導獵宇科技技術有限公司（以下簡稱“先導獵宇”）、先導科技集團有限公司（以下簡稱“先導科技”）簽署了《關於上海宏天元管理諮詢合夥企業（有限合夥）之普通合夥人財產份額轉讓協議》，申宏元管理等11名有限合夥人與先導獵宇簽署了《關於上海宏天元管理諮詢合夥企業（有限合夥）之財產份額轉讓協議》，宏天元管理（執行事務合夥人）及申宏元管理等11名有限合夥人分別向先導科技、先導獵宇轉讓其持有的宏天元合夥全部份額，全體合夥人財產份額轉讓交易價款合計為249,732萬元，其中包括普通合夥人合夥財產份額轉讓價款35,400萬元、普通合夥人對宏天元合夥應收未收管理費以及經營管理權轉移的對價7,500萬元、有限合夥人財產份額轉讓價款合計179,832萬元、普通合夥人和參與風險金機制的有限合夥人根據風險金機制可分配到的風險金收益合計最高27,000萬元。本次財產份額轉讓後，宏天元管理將不再擔任宏天元合夥的執行事務合夥人，申宏元管理將不再擔任宏天元合夥的有限合夥人。
截至本公吿披露日，浦科飛人持有上工申貝6,000萬股A股股票，佔公司總股本比例為8.41%，為公司第一大股東；上海浦科直接持有上工申貝78.95萬股A股股票，佔公司總股本比例為0.11%。即，本次權益變動前，宏天元管理和申宏元管理通過浦科飛人及上海浦科間接持有公司6,078.95萬股A股股票，佔公司總股本的8.52%，未直接持有公司股份；本次權益變動後，宏天元管理和申宏元管理不再持有公司股份，先導科技、先導獵宇將持有宏天元合夥100%份額，並通過浦科飛人及上海浦科間接持有公司6,078.95萬股A股股票，佔公司總股本的8.52%。
本次權益變動為公司第一大股東浦科飛人的間接股東發生變化，未導致浦科飛人及其上層股東上海浦科、宏天元合夥直接或間接持有公司股份的比例和數量發生變化，不涉及要約收購，公司仍然為無實際控制人、無控股股東的上市公司。
