盛航股份(001205.SZ)：控股股東將變更為萬達控股集團、實控人將變更為尚吉永
格隆匯11月22日丨盛航股份(001205.SZ)公佈，2024年11月22日，南京盛航海運股份有限公司控股股東、實際控制人李桃元先生與萬達控股集團有限公司(以下簡稱“萬達控股集團”)簽署《萬達控股集團有限公司與李桃元關於南京盛航海運股份有限公司之股份轉讓協議》(以下簡稱“《股份轉讓協議》”)，李桃元擬通過協議轉讓方式分兩期轉讓其持有的上市公司股份21,544,818股(第二期標的股份轉讓的最終股份數量為截至2024年12月31日李桃元持有的上市公司總股份數的25%)。
其中，第一期標的股份轉讓為李桃元向萬達控股集團協議轉讓其持有的公司股份 12,311,325股(占上市公司總股本的6.73%，佔剔除回購專用證券賬户股份數量後總股本的6.82%)，第一期標的股份轉讓價格為20.47元/股，轉讓總交易金額為25,201.28萬元(注：以截至2024年11月20日總股本為基數，當前回購專用證券賬户股份數量為2,561,960股，下同)。
第二期標的股份轉讓為待李桃元所持第二期標的股份不再受到轉讓限制並不遲於2025年12月31日前，李桃元向萬達控股集團協議轉讓其持有的公司股份9,233,493股(最終股份數量為截至2024年12月31日李桃元持有的上市公司總股份數的25%)，交易價格在轉讓方相關股份符合轉讓條件後，以標的股份總對價不超過5億元(含)人民幣為原則，由雙方依據深交所的相關規定協商確定，屆時雙方應簽訂第二期標的股份轉讓協議。
同日，李桃元與萬達控股集團簽署《萬達控股集團有限公司與李桃元關於南京盛航海運股份有限公司之表決權委託協議》，自第一期標的股份在中證登過户登記完成第二筆股權受讓款支付完畢之日，李桃元將其第一期標的股份轉讓後剩餘持有的36,933,975股股份對應的表決權以及表決權委託期間後續新增持有的上市公司的全部股份的表決權不可撤銷、不可變更、無條件、唯一、排他、無償的全權委託給萬達控股集團行使，委託期限為4年。
表決權委託協議生效後，萬達控股集團將控制上市公司股份49,245,300股所對應的表決權，占上市公司總股本的26.91%，佔剔除回購專用證券賬户股份數量後總股本的27.29%。公司的控股股東、實際控制人將發生變化，公司的控股股東將變更為萬達控股集團，實際控制人將變更為尚吉永。李桃元先生與尚吉永先生將構成一致行動人。
