長飛光纖(601869.SH)：簽署股權收購框架協議
格隆匯11月10日丨長飛光纖(601869.SH)公佈，2024年10月30日，公司召開第四屆董事會第十次會議，以同意12票、反對0票、棄權0票的表決結果審議通過了《關於收購El.En.S.p.A.下屬公司奔騰激光（浙江）股份有限公司及CutlitePentaS.r.l.控股股權的議案》，同意公司與標的公司控股股東Ot-lasS.r.l.（以下簡稱“Ot-las”）之控股股東El.En.簽署框架協議；同意公司以現金方式收購奔騰激光59.1837%股權，以現金收購及認購出資額形式收購Cutlite共計70.0604%股權；並授權公司總裁依據框架協議確定的主要交易條件行使具體決策權，擬定及簽署股權交易協議等後續相關交易文件，並辦理相關交割手續。
公司擬出資人民幣29,870.0000萬元，收購El.En.持有的奔騰激光28,698,288股股份，對應59.1837%的股權；及出資歐元1,654.6848萬元，收購El.En.持有的Cutlite歐元334,956元註冊資本，並出資歐元253.2035萬元，認購Cutlite增發的歐元51,256元註冊資本，認購完成後，公司在Cutlite的持股比例將為70.0604%（以下合稱“本次交易”）。本次交易完成後，奔騰激光及Cutlite將成為本公司子公司，納入本公司合併財務報表範圍內。
El.En.是全球領先的激光技術公司，總部位於意大利佛羅倫薩，於意大利證券交易所上市，股票代碼為ELN。El.En.主要從事激光系統和設備的研發、生產和銷售，廣泛應用於工業、醫療、美容和科研領域。El.En.的產品包括激光切割機、激光焊接機、醫療激光器以及用於美容和皮膚治療的激光系統。其在全球範圍內擁有廣泛的市場網絡和子公司。El.En.在歐洲、北美、南美、亞洲和中東等地區設有多個分支機構和子公司。Ot-las主營設計和製造用於切割、打標和雕刻的激光機，為El.En.的子公司。
