格隆匯10月31日丨傲基股份(02519.HK)發佈公吿，公司擬全球發售2989.47萬股H股(視乎發售量調整權及超額配股權獲行使與否而定)，中國香港發售股份298.95萬股，國際發售股份2690.52萬股；2024年10月31日至11月5日招股，預期定價日為11月6日；發售價將為每股發售股份14.56-15.60港元，每手買賣單位為300股；華泰國際為獨家保薦人；預期股份將於2024年11月8日開始在聯交所買賣。
公司是專注於提供優質傢俱家居類產品的線上零售商。憑藉穩健的供應鏈管理及有效的物流解決方案，為消費者提供廣泛“家與生活”場景下的愉快生活體驗。根據弗若斯特沙利文的資料，按2023年的GMV計，公司在中國賣家的傢俱家居類產品B2C海外電商市場中排名第一；按2023年的GMV計，公司在全球傢俱家居類產品B2C電商市場中排名第五。於往績記錄期間，公司的收入主要來自商品銷售及提供物流解決方案。
公司專注於提供ALLEWIE、IRONCK、LIKIMIO、SHA CERLIN、HOSTACK 及FOTOSOK等受歡迎的專有品牌的傢俱家居類產品。於2023年，公司有11個品牌的GMV超過人民幣1億元，根據弗若斯特沙利文的資料，按GMV計，公司的6個產品品類(包括牀架、食品櫃、梳粧枱和梳粧凳、書櫃、餐櫃和邊櫃以及冰箱)在亞馬遜美國網站排名第一。公司的產品組合亦包括電動工具類、家用電器類、消費電子類及運動健康類產品。按2023年的GMV計，公司的十個產品品類(即牀架、牀、冰箱、衣櫃及抽屜櫃、食品櫃、書櫃、梳粧枱和梳粧凳、餐櫃和邊櫃、電動螺絲刀以及高壓清洗機軟管卷盤)在亞馬遜美國網站的市場份額達到10%以上。公司主要於美國及歐洲等海外市場通過Amazon.com(“亞馬遜”)、沃爾瑪及Wayfair.com(“Wayfair”)向消費者提供產品。這些市場以客户購買力強、電商平台滲透率高而着稱。受益於多樣化的品類、品牌資產和戰略市場定位，公司不斷提高公司的競爭力。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件規限下，按發售價認購總額約1.09億港元可購買的發售股份數目。假設發售價為每股股份15.08港元(即本招股章程所載指示性發售價範圍的中位數)，基石投資者將認購的發售股份總數為725.49萬股發售股份。基石投資者包括華成雲商科技((賽維時代(301381.SZ)的間接全資附屬公司)、樂艙物流(02490.HK)、及黃嘉慧女士。
假設發售量調整權及超額配股權未獲行使，並假設發售價為每股股份15.08港元(即指示性發售價範圍的中位數)，公司估計將自全球發售收取所得款項淨額約3.726億港元。公司擬將全球發售所得款項淨額約70.0%用於公司的業務擴張。公司擬提升業務規模，為消費者提供優質產品；約15.0%預期將用於加強公司的數字化。公司擬進一步完善信息管理系統；約10.0%預期將用於產業鏈的潛在投資或併購機會；及所得款項淨額約5.0%預期將用作營運資金及一般企業用途。
