深科達(688328.SH)：擬以9600萬元收購深科達半導體40.00%的股權
格隆匯10月28日丨深科達(688328.SH)公佈，公司根據發展戰略需要，為了進一步聚焦半導體設備業務，優化整合產業資源，提高管理效率，提升公司綜合競爭力，擬以9,600.00萬元人民幣收購控股子公司深圳市深科達半導體科技有限公司(以下簡稱“深科達半導體”或“標的公司”)少數股東所持40.00%的股權。本次收購完成後，公司將持有深科達半導體100.00%股權。
深科達半導體為公司控股子公司，公司持有其60.00%的股權，少數股東林廣滿、陳林山、深圳市宏義聚能半導體管理諮詢合夥企業(有限合夥)(以下簡稱“宏義聚能”)、劉小燕、李茂貴分別持有深科達半導體23.00%、7.00%、5.00%、3.00%、2.00%的股權，合計持有40%股權。本次交易完成後，公司將持有深科達半導體100.00%股權。本次股權轉讓構成關聯交易，但不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，交易實施亦不存在重大法律障礙。
深科達半導體主要產品包括測試分選一體機、平移式分選機、重力式分選機等，相關產品獲得了市場的廣泛認可，並與長電科技、通富微電、華天科技、華潤微、揚傑科技、蘇州固鍀、銀河微電等優質客户建立了良好合作關係。目前公司自主研發及生產的測試分選一體機已在國內市場排名領先，結合全球半導體行業發展前景和國內半導體行業發展前景，半導體設備業務是公司未來重點發展的戰略方向之一，本次收購深科達半導體少數股東股權是基於公司長期發展戰略規劃，聚焦主業務，通過增加對深科達半導體的持股比例，進一步增強公司對子公司的整體經營控制力、提升經營效率，助推公司發展戰略的實施。
本次收購股權後，公司可充分整合利用自身的資源優勢與技術優勢，提高半導體設備新產品的技術研發能力，推動新產品開發及應用，豐富公司半導體設備產品類別，延伸產品線，還有利於增強公司不同產品之間的業務、研發等方面的協同效應，進一步擴大生產規模，增強公司綜合優勢，提升產品競爭力。綜上，本次交易定價公允，本次收購將進一步提升公司盈利能力，增厚歸屬上市公司股東的利潤，有效增強公司的盈利能力、抗風險能力以及可持續發展能力，充分保障公司股東利益。
