龍蟠科技(02465.HK)預計10月30日上市 引入Harvest Oriental作為基石
格隆匯10月22日丨龍蟠科技(02465.HK)發佈公吿，公司擬全球發售1億股H股，中國香港發售股份1000萬股，國際發售股份9000萬股；2024年10月22日至10月25日招股，預期定價日為10月28日；發售價將為每股4.50-7.0港元，每手買賣單位為500股；國泰君安國際及鎧盛為聯席保薦人；預期股份將於2024年10月30日開始在聯交所買賣。
公司是全球主要的磷酸鐵鋰正極材料製造商，亦是中國內地知名的車用精細化學品製造商。公司主要以下列兩個部分經營：磷酸鐵鋰正極材料。公司主要從事磷酸鐵鋰正極材料的生產及銷售。磷酸鐵鋰正極材料是目前生產鋰電池最廣泛運用的正極材料，用於各種終端市場，包括新能源汽車和儲能行業。車用精細化學品。公司主要從事多元化的車用精細化學品組合的生產及銷售，涵蓋柴油發動機尾氣處理液、車用及工業潤滑油、冷卻液以及車用養護品，該等產品廣泛應用於汽車整車製造市場、汽車後市場和工程設備市場。
公司於磷酸鐵鋰正極材料行業及車用精細化學品行業的多個細分市場享有主要市場地位。根據弗若斯特沙利文的資料，就2023年的銷量而言，公司是中國及全球第四大磷酸鐵鋰正極材料製造商，全球市場份額為6.5%，而最大三家制造商分別佔據30.5%、12.9%及10.5%的市場份額；中國內地第三大柴油發動機尾氣處理液製造商，市場份額為9.1%，而最大兩家制造商分別佔據29.1%及12.9%的市場份額；及中國內地第三大冷卻液製造商，市場份額為5.8%，而最大兩家制造商分別佔據12.3%及8.8%的市場份額。
集團的歷史可追溯至2003年公司成立時，最初提供潤滑油和發動機冷卻液。通過多年來的戰略增長，公司成功擴大並強化產品組合以涵蓋其他車用精細化學品，例如柴油發動機尾氣處理液及車用養護品，使公司能夠為客户提供多元化的車用精細化學品產品組合。公司已與基石投資者(即Harvest Oriental)訂立基石投資協議，據此，基石投資者已同意，在若干條件的規限下，按發售價認購或促使其指定實體認購2000萬股發售股份。
假設發售價為每股H股5.75港元(即每股H股介乎4.50港元至7.00港元發售價的中位數)及超額配股權不獲行使，公司估計將自全球發售收到的所得款項淨額約為5.20億港元。公司目前擬將該等所得款項淨額約40.0%用於支付印度尼西亞工廠二期的部分開支。主要開支包括建設工廠以及購買及安裝主要生產機器及設備所需資金；約40.0%預計將用於支付位於湖北省的襄陽工廠的新磷酸錳鐵鋰生產線的部分開支。主要開支包括購買及安裝主要生產機器及設備和相關軟件所需資金；約10.0%預計將用於部分償還若干計息銀行借款；及約10.0%預計將用於公司的營運資金及其他一般公司用途。
