國泰君安(601211.SH)：擬換股吸收合併海通證券 換股比例1:0.62
格隆匯10月9日丨國泰君安(601211.SH)公佈，本次交易的具體實現方式為國泰君安換股吸收合併海通證券，即國泰君安向海通證券的全體A股換股股東發行A股股票、向海通證券的全體H股換股股東發行H股股票，按照同一換股比例交換該等股東所持有的海通證券A股、H股股票。同時，國泰君安向國資公司發行A股股票募集配套資金不超過人民幣100.00億元。自本次合併的交割日起，存續公司承繼及承接海通證券的全部資產、負債、業務、人員、合同、資質及其他一切權利與義務；合併完成後，海通證券將終止上市並註銷法人資格。國泰君安因本次換股吸收合併所發行的A股股票將申請在上交所主板上市流通、H股股票將申請在香港聯交所主板上市流通。本次交易方案中，募集配套資金在本次換股吸收合併的基礎上實施，但本次換股吸收合併不以募集配套資金的成功實施為前提，最終募集配套資金成功與否不影響本次換股吸收合併的實施。國泰君安A股股票換股價格和H股股票換股價格分別為13.83元/股和7.73港元/股。海通證券A股股票換股價格和H股股票換股價格分別為8.57元/股和4.79港元/股。
本次換股吸收合併中，按照換股比例1:0.62計算，國泰君安擬發行的股份數量合計為8,099,804,000股，其中A股5,985,871,332股，H股2,113,932,668股。換股實施後，國泰君安的總股本將增至17,003,534,620股。國際集團直接及間接控制國泰君安的股份數量不變，為2,970,325,457股，佔總股本的17.47%。根據本次交易方案，國泰君安擬同時向國資公司發行A股股票募集配套資金不超過人民幣100.00億元，發行價格為15.97元/股。以本次募集配套資金總額上限測算，發行A股股票募集配套資金後，國泰君安的總股本將進一步增至17,629,708,696股。國際集團直接及間接控制國泰君安的股份數量增加至3,596,499,533股，佔總股本的20.40%。
