萬盛股份(603010.SH)：擬3.78億元收購熵能新材59.33%股份
格隆匯10月8日丨萬盛股份(603010.SH)公佈，為豐富公司產品品類，進一步實現公司成為“全球一流功能性新材料企業”的戰略目標，公司和/或下屬基金臨海復星萬盛基金與熵能新材股東石建偉、劉輝、周亮（上述石建偉、劉輝、周亮三人統稱為標的公司“實際控制人”）、廣州眾森鉅富投資合夥企業（有限合夥）（以下簡稱“廣州眾森”或“員工持股平台”）及其他部分中小股東分別簽署了《股份轉讓協議》，以自有資金人民幣37,752.31萬元收購熵能新材2118.2萬股股份，佔熵能新材總股本的59.33%（本次收購交易對手中其中：石建偉持有熵能新材1,311.7萬股，本次轉讓255.7萬股，佔熵能新材7.16%，股權轉讓款4,655.60萬元，剩餘股份1,056萬股；劉輝持有熵能新材457.1萬股，本次轉讓365.68萬股，佔熵能新材10.24%，股權轉讓款6,658.04萬元，剩餘股份91.42萬股；周亮持有熵能新材417.4萬股，本次轉讓333.92萬股，佔熵能新材9.35%，股權轉讓款6,079.78萬元，剩餘股份83.48萬股，其餘股東合計持有熵能新材1383.8萬股，本次轉讓1,162.9萬股，佔熵能新材32.57%，股權轉讓款20,358.89萬元）；同時，公司與標的公司股東劉輝、周亮、潘傑輝、張璐簽署的《表決權委託協議》項下合計509.475萬股股份（其中：劉輝251.405萬股、周亮229.57萬股、潘傑輝11.475萬股、張璐17.025萬股）對應的表決權獨家且不可撤銷地委託公司行使；另外，為保障劉輝、周亮、潘傑輝、張璐的剩餘合計684.375萬股股份後續能夠順利過户至公司和/或臨海復星萬盛基金名下，根據《股份轉讓協議》的約定，上述四人將其合計684.375萬股股份（其中：劉輝342.825萬股、周亮313.05萬股、潘傑輝11.475萬股、張璐17.025萬股）質押給公司和/或臨海復星萬盛基金。本次收購完成後，公司將成為熵能新材的控股股東。
本次收購完成滿三年後，公司及臨海復星萬盛基金在符合協議約定的條件下將受讓石建偉、劉輝、周亮、廣州眾森持有的標的公司剩餘股份，其中石建偉1,056萬股（若自《股份轉讓協議》簽署之日起60日內，石建偉受讓廣州睿信創業投資合夥企業（有限合夥）所持有的標的公司15萬股股份，則石建偉的剩餘股份為1,071萬股股份）、劉輝91.42萬股、周亮83.48萬股、廣州眾森200萬股。
熵能新材是一家專業從事高分子材料助劑研發、生產和銷售的科技驅動型企業，自主研發並生產出抗滴落劑、增韌劑和聚合物加工助劑等產品，主要應用於工程塑料和通用塑料等行業，產品最終應用於汽車、新型建材、電子電器等領域。
