中國電力(02380.HK)控股股東籌劃重組：擬以公司旗下若干主營水電業務附屬公司的控股權作為對價，以認購遠達環保將予配發的新股
格隆匯9月30日丨中國電力(02380.HK)宣佈，於2024年9月30日，公司收到國家電力投資集團有限公司("國家電投"，公司最終控股股東)發出《關於籌劃重大資產重組事項的通知》。
根據該重組通知，為響應國務院於2020年刊發的《關於進一步提高上市公司質量的意見》，其中包括推動市場化併購重組，鼓勵上市公司盤活資產及實現轉型發展等，國家電投提出擬以公司旗下附屬公司，包括五凌電力有限公司及國家電投集團廣西長洲水電開發有限公司的控股權(統稱"擬出售股權")作為對價，以認購國家電投集團遠達環保股份有限公司("遠達環保"，國家電投的聯繫人)將予配發的新股，而遠達環保亦將同步募集資金，並以新增發的A股股份及／或現金支付擬出售股權。
國家電投意向，在資產重組建議項下擬進行之交易完成後，遠達環保將建設為國家電投在中國境內的水電資產整合平台，並通過公司對遠達環保的控股權，進一步鞏固公司作為國家電投綜合清潔能源旗艦上市平台的地位。
據悉，遠達環保於2000年11月在上海證券交易所上市(其A股證券代碼：SH600292)，併為國家電投的聯繫人。其主要在中國從事節能環保及污染治理業務，包括脱硫脱硝除塵工程總承包、脱硫脱硝特許經營、水務工程及運營、脱硝催化劑製造和再生，以及新能源和綜合智慧能源相關業務。於公吿日期，國家電投直接擁有遠達環保已發行股本約43.74%。
五凌電力有限公司於1995年五月成立，併為公司擁有63%權益的附屬公司。其主要在中國湖南、貴州、四川及新疆從事水電、風電及其他清潔能源發電的開發、投資、生產和供應。
國家電投集團廣西長洲水電開發有限公司於2003年十月成立，併為國家電投集團廣西電力有限公司(公司一家全資擁有的附屬公司)擁有64.93%權益的附屬公司。其主要在中國廣西壯族自治區從事水電、風電及光伏發電的開發、投資、生產和供應。
