瑞爾集團(06639.HK)宣佈2024年股份購回計劃 彰顯未來發展信心
格隆匯10月2日丨瑞爾集團(06639.HK)發佈公吿，根據股東於2023年股東周年大會上通過的普通決議案，董事獲授予一般授權，以購回不超過5815.92萬股股份，相當於截至2023年股東周年大會當日已發行股份總數的10%。截至2024年9月25日，根據2023年股份購回已動用約1億港元購回合共1756.1萬股股份。2023年股份購回的資金由公司現有可用現金(不包括公司全球發售)所得款項)撥付。
董事已於2024年股東周年大會上獲授予一般授權，以購回不超過5640.31萬股股份，相當於截至2024年股東周年大會日期已發行股份總數(不包括庫存股份)的10%。2024年9月30日，董事會決議動用2024年購回授權於公開市場酌情購回股份(“2024年股份購回計劃”)。2024年股份購回計劃將以公司現有可用現金(不包括全球發售所得款項)撥付。
董事會認為，於現況下的2024年股份購回計劃將展示公司對自身業務展望及前景充滿信心，且最終會為公司帶來裨益及為股東創造價值。此外，董事會認為，公司現有財務資源足以實施2024年股份購回計劃，同時維持穩健的財務狀況。
有關公司於2022年9月5日有關採納公司2022年受限制股份單位計劃。根據2022年受限制股份單位計劃，相關股份將由受託人根據市場交易價格在市場上收購的現有股份來滿足。董事會及高級管理層認為，考慮到公司的表現、資產價值及公司的實際業務前景，並認為股份在過去數月的交易價格是為2022年受限制股份單位計劃購買股份的良機。因此，董事會亦積極指示2022年受限制股份單位計劃受託人根據2022年受限制股份單位計劃的計劃規則在公開市場上購買股份(“2022年受限制股份單位計劃項下的購買股份”)。自2024年7月至本公吿日期，公司已動用約2300萬港元購買564.75萬股股份，作為2022年受限制股份單位計劃項下給承授人的獎勵。
