四川成渝高速公路(00107.HK)擬不超22億元收購荊宜高速公司85%股權
格隆匯9月24日丨四川成渝高速公路(00107.HK)公吿，於2024年8月14日，公司與蜀道創投訂立收購協議，據此，公司有條件同意購買而蜀道創投有條件同意出售標的資產，以公司向蜀道創投(i)配發及發行代價股份及(ii)支付現金，共同作為代價結算。雙方已同意，建議收購事項的最終總代價不超過人民幣22億元。建議收購事項的最終總代價將以資產評估報吿所載經主管國有資產監督管理機構或其授權單位備案的標的資產的評估值為參考依據，經雙方公平磋商後釐定，並將以訂立補充協議的方式予以明確。"標的資產"指蜀道創投所持有的荊宜高速公司85%的股權。
代價股份及現金代價於最終總代價中所佔比例尚待雙方同意，並將於訂立補充協議時予以確認。根據雙方的協商結果，雙方預計代價股份的數目於任何情況下均(a)不多於439,121,756股A股(佔本公司於本公吿日期已發行股本總額不多於約14.4%)；及(b)不少於105,500,000股A股(佔本公司於本公吿日期已發行股本總額不少於約3.4%)。此外，各方有意以代價股份支付總代價的大部分。
荊宜高速公司為一家於2002年11月18日在中國成立的有限責任公司。於本公吿日期，荊宜高速公司為蜀道創投持股85%的附屬公司。荊宜高速公司主要業務為荊宜高速公路的投資、建設、經營、管理。荊宜高速公司目前擁有荊宜高速公路的特許經營權。
荊宜高速公路位於中國湖北省，是經國務院批准、交通部頒佈的"國家高速公路網規劃"中上海至成都高速公路的重要組成部分。荊宜高速公路全長94.998公里，東起荊門市鄭家衝村，與湖北武漢－荊門高速公路和襄陽－荊門高速相接，西至宜昌市高家店鎮，與武漢－宜昌高速和宜昌長江大橋相連。荊宜高速公路途經湖北省東寶區、掇刀區、當陽市、夷陵區及猇亭區，橫跨荊門市及宜昌市，沿線連接宜昌－巴東高速、保康－宜昌高速、宜昌－張家界高速，是通往襄陽市、張家界市、巴東縣、成都等地區的重要樞紐公路。此外，荊宜高速公路的營運期自2007年12月25日至2038年3月13日。
公司已向聯交所申請H股自2024年9月25日上午九時正起恢復於聯交所買賣。
