中策資本控股(00235.HK)擬斥資1.02億港元收購菲律賓證券交易所上市公司CSB 26.8%股份
格隆匯9月2日丨中策資本控股(00235.HK)發佈公吿，2024年8月30日，賣方與買方(CS Capital Investment Pte. Ltd.，為公司的一間間接全資附屬公司)訂立買賣協議，據此，賣方須按照買賣協議的條款及條件向買方出售、出讓及轉讓，而買方須購買及收購標的股份，相當於目標公司於本公佈日期全部已發行及流通股本的26.80%，總價為約7.36億菲律賓披索(相當於約1.02億港元)(可予調整，惟購買所有標的股份的總代價於任何情況下均不得超過7.5億菲律賓披索(相當於約1.04億港元))。
目標公司(即Citystate Savings Bank, Inc.，一間根據菲律賓共和國法律成立並存續的儲蓄銀行，其普通股於菲律賓證券交易所上市(交易代號：CSB))為一間已經運營超過25年的儲蓄銀行，目標公司的分銷網絡包括34間分行╱辦事處，其中包括4間為輕型分行單位。另有40台全面運作的自動櫃員機作為該網絡更好的支持，自動櫃員機策略性地放置於馬尼拉大都會及省區的主要城市及市鎮銀行所處及其他地點，確保客户全天候可使用。目標公司迎合企業、中型市場及零售客户的需要。
目標公司的業務包括傳統商業銀行、零售銀行及資金服務。除儲蓄銀行提供的傳統產品及服務外，目標公司提供其他銀行服務，例如存款產品及服務、現金管理、銀行所處或其他地點的自動櫃員機設施、企業及零售銀行以及資金服務。目標公司亦獲得菲律賓教育部的正式認可，向菲律賓教育部轄下的教職員及非教職員提供多用途的教師貸款。
公吿表示，目標公司是一間在菲律賓受到其中一種最高級別監管的上市持牌銀行，具有高度透明度及合規性。收購事項為公司的一項戰略投資及為公司實施金融業務投資策略的第一步。其亦代表着集團進入主流金融業務世界的努力，併為集團在具有巨大發展潛力的東南亞地區佈局業務藍圖。
